What a Parts Dealer Agreement Covers

A Parts Dealer Agreement is a contract that sets the commercial and operational terms between a parts supplier (dealer) and a buyer, distributor, or service provider. Typical provisions cover the parties and their authorities, the parts or product list and SKU identification, pricing and discounts, ordering and delivery procedures, inventory ownership and risk of loss, warranties and returns, invoicing and payment terms, confidentiality and IP rights, contract term and termination, and remedies for breach. The document may be stand-alone or part of a broader supply or distribution agreement and is commonly executed electronically under federal ESIGN and state UETA frameworks.

Why a Clear Parts Dealer Agreement Matters

A well-drafted Parts Dealer Agreement reduces disputes, clarifies shipment and warranty responsibilities, protects margins, and documents credit and return policies to support consistent operations and legal enforceability.

Why a Clear Parts Dealer Agreement Matters

Who Typically Prepares and Signs This Agreement

Parties and staff who interact with parts contracts vary by company size and role; below are common participants.

  • Purchasing managers and procurement teams who negotiate pricing, lead times, and inventory terms.
  • Operations or warehouse managers who confirm delivery, inspection, and return procedures.
  • Accounts payable/receivable staff who enforce payment terms and track credits.

Use the right combination of operational and financial approvers to ensure the agreement reflects practical workflows and mitigates credit and warranty exposure.

Core Sections Every Professional Agreement Should Include

A Parts Dealer Agreement should be organized so each major commercial and legal topic is clear; the six items below form the contract backbone.
