PARTY GAME: TRUTH OR DARE AGREEMENT

This Truth or Dare Agreement (the Agreement) is entered into as of (Effective Date), by and between:

WHEREAS

WHEREAS, Provider is in the business of organizing and hosting interactive party entertainment activities, including the game commonly known as Truth or Dare; and

WHEREAS, Client desires to engage Provider to produce, administer and moderate a Truth or Dare game at an event described in the Scope of Work, and Provider agrees to provide such services under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of mutual promises and covenants contained herein, the parties agree as follows:

SCOPE OF WORK

Provider will plan, supply, and conduct a Truth or Dare game at the event specified by Client. The core elements to be provided include structure of the rounds, moderation, safety oversight, and any materials required to administer the game. Specific requirements, limitations, and lists of approved Truth questions and Dare prompts are to be recorded below.

PAYMENT TERMS

Client will pay Provider the total fee for the services as set forth below. All amounts are in U.S. dollars unless otherwise stated.

All payments are due as described above. Provider may suspend service if Client is more than days past due, after providing written notice to Client.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination does not relieve Client of obligation to pay for services performed prior to termination.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that is (a) publicly available through no breach of this Agreement, (b) already known to the receiving party, or (c) independently developed.

The receiving party may disclose Confidential Information to its employees or contractors who have a need to know and who are bound by obligations of confidentiality no less protective than those in this Agreement.

RISK ALLOCATION AND CONTENT RESTRICTIONS

Provider will implement reasonable measures to prevent unsafe dares and to moderate abusive or illegal conduct. Client acknowledges that certain dares may present physical, reputational or emotional risks. Client and participants assume responsibility for personal decisions to accept a dare and agree not to seek recovery from Provider for ordinary injuries resulting from consensual, non-negligent game participation.

MEDIA, RECORDING AND RELEASE

Provider may record audio or video of the event and use such recordings for promotional or archival purposes only with Client's prior consent. Client may grant or withhold consent using the checkbox below. If consent is withheld, Provider will use reasonable efforts to avoid capturing Client's image during recording.

INDEMNIFICATION

Client shall indemnify, defend and hold harmless Provider from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Client's breach of this Agreement, negligence, willful misconduct, or failure to comply with the content restrictions set forth herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all attachments and schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. Any modification to this Agreement must be in writing and signed by both parties.
