Recitals

WHEREAS, Supplier is engaged in the business of providing party supplies, equipment and related services; and

WHEREAS, Client desires to purchase specified party supplies and related services from Supplier for the event described below, and Supplier agrees to furnish such supplies and services pursuant to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend this Order Form and Service Agreement to set forth the full understanding and obligations of the parties with respect to the purchase and delivery of the supplies and services identified herein effective as of .

Scope of Work

Supplier shall provide the supplies, rental items, equipment and setup services specified below for the Client's event. Supplier will provide reasonable staffing required for delivery, setup and pickup as agreed. Specific tasks, special instructions, and item-by-item conditions are stated in the Scope of Work field below.

Payment Terms

Client shall pay Supplier the Total Due in accordance with the following schedule and terms.

Late payments shall incur interest at the lesser of 1.5% per month or the maximum rate permitted by law on past-due amounts, beginning on the date payment is due until paid in full. Client shall also pay reasonable collection costs, including attorney fees, for delinquent accounts.

Term and Termination

This Agreement commences on and continues until completion of the services and final payment, but not later than , unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within days after receipt of written notice. Termination by Client after the deposit is paid may be subject to cancellation fees as set forth below.

Cancellation and Refunds

If Client cancels the order prior to delivery, Supplier will retain the deposit as liquidated damages unless otherwise agreed in writing. If cancellation occurs within days of the event, Client shall be liable for of the Total Due, plus any non‑recoverable expenses.

Confidentiality

Each party shall treat as confidential and shall not disclose to third parties any non-public business or personal information disclosed by the other party in connection with this Agreement, except where disclosure is required by law. Confidential information does not include information that becomes publicly available through no fault of the receiving party or that is independently developed by the receiving party without use of confidential information.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties at the time of execution. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved in the courts of the chosen jurisdiction.

This Order Form and Service Agreement, together with any attachments or addenda executed by the parties, constitutes the entire agreement between Supplier and Client concerning the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. Any modification must be in writing and signed by both parties.

Miscellaneous Provisions

Supplier warrants that supplies delivered will substantially conform to the descriptions provided in this Order Form. Except as expressly set forth herein, Supplier makes no other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. Client shall inspect supplies upon delivery and notify Supplier promptly of any shortages or defects.

Client represents that it has necessary permissions and rights for the event location and will obtain any permits or licenses required for the use of supplied items. Client shall indemnify and hold Supplier harmless from claims arising out of Client's failure to obtain required permissions.

Acceptance

By signing below, Client orders the supplies and services described in this Order Form and accepts the terms and conditions of this Agreement. Supplier's acceptance of this order is effective upon Supplier's signature or confirmed delivery schedule.
