This Passenger Transport Agreement ("Agreement") is made and entered into on by and between:

RECITALS

WHEREAS, Carrier is duly authorized and in the business of transporting passengers and operates vehicles and personnel meeting applicable safety and insurance requirements; and

WHEREAS, Passenger desires to engage Carrier to provide passenger transport services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that Carrier perform the services described below and that Passenger pay Carrier pursuant to the Payment Terms herein.

SCOPE OF WORK

Carrier shall provide passenger transport services as follows. The description below constitutes the service scope; deviations require written agreement signed by both parties.

PAYMENT TERMS

Passenger shall pay Carrier the fees described below for the Services. All amounts are payable in lawful currency of the applicable jurisdiction and are exclusive of taxes unless otherwise stated.

All unpaid amounts shall accrue interest as specified above and Carrier may suspend service for overdue accounts after providing written notice in accordance with the Termination provisions below.

TERM AND TERMINATION

This Agreement commences on the Commencement Date and, unless earlier terminated in accordance with this Agreement, continues until the Expiration Date.

Either party may terminate this Agreement for material breach by the other if the breaching party fails to cure the breach within fourteen (14) days of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to termination, including payment for services rendered.

CONFIDENTIALITY

Each party shall treat Confidential Information of the other party as strictly confidential and shall not disclose such information to third parties except to employees, agents, or contractors who have a need to know and are bound by confidentiality obligations no less protective than those herein. "Confidential Information" includes passenger personal data, route manifests, pricing, and operational procedures, but excludes information that is or becomes publicly available other than by breach of this Agreement or that is independently developed without use of Confidential Information.

Upon termination or expiration of this Agreement, each party shall promptly return or destroy the other party's Confidential Information, except as required by law or to the extent retention is necessary to comply with recordkeeping obligations.

LIABILITY AND INSURANCE

Carrier shall maintain commercial automobile liability insurance and passenger liability insurance in amounts customary for the type of service provided. Carrier's liability for claims arising from Carrier's negligence shall be limited to amounts recoverable under such insurance, except in cases of gross negligence or willful misconduct, where no such limitation shall apply.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction indicated below without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment to this Agreement shall be effective unless in writing and executed by both parties.

MISCELLANEOUS PROVISIONS

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may specify in writing. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
