WHEREAS

WHEREAS, Client seeks to engage Service Provider to assist with the collection, verification and submission of passport-related information and ancillary services related to passport applications, renewals, or document management; and

WHEREAS, Service Provider possesses the administrative capability and expertise to perform the services described in this Agreement and will handle Client data as necessary to complete such services; and

WHEREAS, the parties wish to define their respective responsibilities, the scope of work, fees, confidentiality obligations and other terms governing Service Provider’s handling of Client passport information.

SCOPE OF WORK

Service Provider will perform the services described below. Client acknowledges that Service Provider acts as a document processing and administrative service and is not a government authority.

PASSPORT INFORMATION

PAYMENT TERMS

Client agrees to pay Service Provider the fees set forth below in consideration for the services described in this Agreement. Fees do not include governmental filing fees or third-party charges unless expressly stated.

TERM AND TERMINATION

This Agreement commences on the Effective Date and shall continue until the completion of the services or until earlier terminated as set forth below.

Either party may terminate this Agreement for material breach if the breach remains uncured for the notice period set forth above. Termination does not relieve Client of the obligation to pay for work performed or third-party costs incurred prior to termination.

CONFIDENTIALITY

Service Provider shall treat all passport and personal information provided by Client as Confidential Information. Service Provider will not disclose such Confidential Information except (a) as required to perform the services under this Agreement, (b) as required by law or court order, or (c) with Client’s prior written consent. Service Provider shall implement reasonable administrative, technical, and physical safeguards to protect Confidential Information against unauthorized disclosure.

Upon termination or expiration of this Agreement, Service Provider will return or securely destroy Client Confidential Information, excluding archival backup copies retained in accordance with standard backup procedures and applicable legal requirements.

LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, neither party shall be liable for indirect, incidental, special or consequential damages. Service Provider’s aggregate liability for any claim arising out of this Agreement shall not exceed the total fees actually paid by Client under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

ENTIRE AGREEMENT

This Agreement, including any attachments or incorporated documents, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

CERTIFICATION

By signing below, Client certifies that the passport information provided in this form is true, complete, and accurate to the best of Client’s knowledge. Client understands that knowingly providing false information may constitute a criminal offense under applicable law. Client authorizes Service Provider to use the information solely as necessary to provide the agreed services.
