Time is of the essence for completion. If Seller fails to achieve substantial completion by the Estimated Completion Date, Seller shall be liable for liquidated damages in the amount of $ per day, unless delay is due to excusable events defined herein.

Permits, Utilities and Site Conditions

Buyer represents that Seller has been advised of all known underground utilities and that Buyer will identify and locate private utilities prior to start. Seller is not responsible for damage or delay caused by unknown subsurface conditions.

Change Orders

Any change in scope, materials, or price shall be authorized only by a written change order signed by both parties. Change orders shall state the change, any increase or decrease in the price, and any adjustment to the completion schedule.

Warranties

Seller warrants that all labor and materials furnished by Seller shall be free from material defects for a period of from the date of completion, except for normal wear and tear, abuse, improper maintenance, or damage from settlement, natural events, or alterations by others. Manufacturer warranties on materials, if any, shall be assigned to Buyer to the extent assignable.

Liens and Final Payment

Seller may record a mechanic's lien for unpaid amounts in accordance with applicable law. Upon receipt of final payment, Seller shall release any lien or security interest. Buyer may withhold final payment only for valid, documented claims of defective work not remedied after written notice and reasonable opportunity to cure.

Insurance, Indemnity and Risk

Seller shall maintain general liability and workers' compensation insurance for the duration of the work. Seller shall indemnify and hold Buyer harmless from liabilities arising from Seller's negligent acts, omissions, or willful misconduct in performance of the work, except to the extent caused by Buyer's negligence.

Default and Remedies

In the event of default by either party, the non-defaulting party shall provide written notice describing the default and a reasonable opportunity to cure. If not cured within the stated cure period, the non-defaulting party may pursue available remedies at law or equity, including specific performance, damages, or termination of the Agreement.

Governing Law; Entire Agreement

This Agreement shall be governed by the laws of the state in which the Property is located. This Agreement, including any written change orders and attachments signed by both parties, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral.
