PAVING PROJECT AGREEMENT

This Paving Project Agreement (the Agreement) is entered into between:

RECITALS

WHEREAS, Client requires paving, resurfacing, and ancillary site work at the Project Site described below; and

WHEREAS, Contractor is duly licensed, experienced and qualified to perform paving and related construction work and has agreed to perform such work under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment, schedule, warranties and other material terms for the paving improvements.

PROJECT LOCATION & DESCRIPTION

SCOPE OF WORK

Contractor shall furnish all labor, materials, equipment, supervision, and services necessary to complete the paving scope described below. The Scope of Work shall include, without limitation, site preparation, grading, base repair, installation of aggregate base as required, asphalt or concrete paving, compaction, striping, drainage adjustments, cleanup and other work expressly enumerated in this Agreement.

PAYMENT TERMS

Late Payment: Unpaid amounts shall accrue interest at the rate of (or the maximum permitted by law), plus Contractor's reasonable collection costs, including attorneys' fees.

Termination for Convenience: Either party may terminate this Agreement for convenience by providing written notice at least days prior to the intended termination date. Termination for Cause: Either party may terminate for material breach if the breaching party fails to cure within days after receipt of written notice describing the breach.

On termination, Contractor shall be entitled to payment for work performed to the date of termination, and Client shall be entitled to any excess costs reasonably incurred to complete remaining work pursuant to the payment provisions herein.

PERMITS, INSURANCE AND COMPLIANCE

Contractor shall obtain and maintain at its expense all permits, licenses and approvals required by applicable law to perform the Work. Contractor shall maintain commercial general liability insurance, workers' compensation, and automobile liability insurance with limits customary for paving contractors and shall provide certificates of insurance upon request.

Contractor shall perform all work in accordance with applicable laws, codes, regulations and industry standards, including proper disposal of removed materials and protection of adjacent property.

WARRANTIES AND ACCEPTANCE

Contractor warrants that materials and workmanship shall be free from defects for a period of from substantial completion. This warranty excludes damage from misuse, negligence, improper maintenance, or acts of God.

Final acceptance will be based on inspection and written confirmation that the Work materially conforms to the Scope of Work and industry standards.

CONFIDENTIALITY

Each party shall treat as confidential all non-public technical, financial and business information disclosed by the other party in connection with this Agreement. Confidential information shall not be disclosed to third parties except to employees, contractors or subcontractors who have a need to know and who are bound to confidentiality obligations at least as protective as those in this Agreement. Confidentiality obligations do not apply to information which (i) is or becomes public through no wrongful act of the receiving party, (ii) is already known to the receiving party without obligation of confidentiality, or (iii) is required to be disclosed by law or valid subpoena, provided the disclosing party is given prompt notice where permitted.

INDEMNITY

Contractor shall indemnify, defend and hold harmless Client and its agents from and against claims, damages, losses and expenses arising out of Contractor's performance of the Work, to the extent caused by Contractor's negligent acts, omissions, or willful misconduct, except to the extent arising from Client's negligence or breach.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. Venue for any dispute shall be in the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, together with any exhibits, attachments and written change orders executed by the parties, constitutes the entire agreement between Client and Contractor relating to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notice shall be deemed given on delivery if by hand, three business days after deposit if sent by certified mail, or one business day after deposit if sent by commercial overnight courier.
