Transferor certifies that, to the best of its knowledge and after making due and reasonable inquiries, the payroll data, deductions and payments declared in the Employee Schedule are complete and accurate for the periods to the Effective transfer date. Transferor further warrants that any PAYE sums due and payable in respect of pay periods ending on or before the Effective transfer date will be disclosed and accounted for in accordance with applicable law.

Transferee accepts responsibility for accounting for PAYE and employer contributions for the employees listed from the Effective transfer date. Transferee acknowledges that any liabilities arising from employment or PAYE obligations prior to the Effective transfer date remain the responsibility of the Transferor unless expressly agreed otherwise in writing.

Both parties agree to cooperate fully with each other and with the relevant tax authority in the transfer of records, reconciliation of year‑to‑date figures and resolution of any pre‑existing liabilities. Each party undertakes to indemnify and keep indemnified the other party against losses, penalties or interest arising from any material misstatement, omission or non‑disclosure in the payroll records provided by that party.
