By signing below, the undersigned (the "Account Holder") authorizes the named Payor to initiate Automated Clearing House (ACH) entries to the bank account identified above and, if necessary, to initiate adjustments for any entries made in error. This authorization remains in effect until Payor has received written notice of cancellation from the Account Holder in accordance with the notice procedures set forth below. The Account Holder represents and warrants that the information provided on this form is true, complete and accurate and that the Account Holder is authorized to accept ACH credit or debit transactions on the referenced account.

The Account Holder agrees to notify Payor in writing of any change in account information or termination of this authorization at least five (5) business days prior to the effective date of the change. Payor shall be entitled to rely on the account and routing numbers provided and shall not be liable for delays or losses resulting from incorrect information supplied by the Account Holder. In the event an ACH debit is returned for insufficient funds or any other reason, the Account Holder shall be responsible for any fees or charges assessed by the financial institution and for any costs incurred by Payor to recover such funds.

The Account Holder hereby authorizes Payor to process payments in accordance with the Payment Instruction section of this form. This authorization includes permission to: (a) debit the specified account for payments due; (b) credit the specified account for refunds or corrections; and (c) initiate reversal entries where permitted by law and banking rules.

Revocation: This authorization may be revoked by the Account Holder by providing written notice to Payor. Revocation shall be effective only after Payor has had a reasonable opportunity to act on the revocation and shall not affect any transfers previously initiated. Governing Law: This authorization shall be governed by and construed in accordance with the laws of the state in which Payor maintains its principal place of business, without regard to conflict of laws principles.
