The undersigned Payor certifies that payment in the amount stated herein has been authorized and remitted in settlement (in whole or in part as specified) of the invoices listed above. This Confirmation is provided for the purpose of confirming payment and does not create any new obligation other than acknowledged payment transmission.

The Payor represents that, to the best of its knowledge, the payment transmitted satisfies the referenced invoices except for amounts expressly listed as deductions. The Payor further represents that no duplicate payment has been made for the same invoice unless expressly noted.

If the Payee does not receive the funds within a commercially reasonable period, Payee must notify Payor in writing within five (5) business days following receipt of this Confirmation. Failure to notify shall not prejudice Payee’s right to investigate but may affect the Payor’s ability to provide bank-level evidence of transfer.

This Confirmation is subject to applicable tax withholding laws. If withholding was applied by Payor, the amount withheld and reason for withholding must be documented in the deductions field above. Payor shall provide documentation of withholding upon Payee request.

The Payor and Payee agree that any dispute related to the payment will be addressed in good faith between the parties. Nothing in this Confirmation waives a party’s claim for amounts not properly paid or for setoff where permitted by law.
