By signing below, the Account Holder authorizes the Beneficiary and its agents to initiate debit and/or credit entries to the account specified above and to charge the account for all payments due under the referenced obligations. This authorization is to remain in full force and effect until the Beneficiary has received written notification from the Account Holder of its termination in such time and manner as to afford the Beneficiary and the Account Holder's bank a reasonable opportunity to act on it. The Account Holder acknowledges that ACH transactions are subject to applicable operating rules and that the Account Holder's bank may rely on the account and routing numbers provided.

The Account Holder represents and warrants that it is authorized to grant this authorization for the account referenced above, that entries drawn are within the account's available funds, and that any information provided on this form is true, accurate, and complete. The Account Holder agrees to indemnify and hold harmless the Beneficiary for any loss, liability, or expense arising from incorrect or incomplete bank account information supplied by the Account Holder or from the Account Holder's failure to notify the Beneficiary of changes.

If a debit is returned unpaid for any reason, the Account Holder authorizes the Beneficiary to attempt re-presentment and to assess any applicable returned-payment fee as disclosed in the payment terms. Any disputes regarding a transaction must be submitted in writing to the Beneficiary within thirty (30) days of the transaction date; failure to timely dispute shall constitute a waiver of the dispute rights to the extent permitted by law.

For credit card authorizations, the Account Holder authorizes the Beneficiary to charge the card for the stated amounts and frequencies. The Account Holder shall promptly notify the Beneficiary of any change in card status, including expiration or cancellation. The Account Holder acknowledges that additional verification may be required prior to processing.

Verification, Cancellation, and Notices

The Beneficiary may verify account ownership and authority by means of micro-deposit verification, bank letter, vendor verification services, or other methods. The Account Holder may revoke this authorization by providing written notice to the Beneficiary at the remittance address specified above. Revocation shall be effective only after the Beneficiary has had a reasonable opportunity to act on it and shall not affect debits already initiated.

Legal Notice

This Payment Authorization constitutes the Account Holder's express written consent to the electronic initiation of credits and debits as described herein. The Account Holder acknowledges that this authorization may be governed by applicable clearinghouse rules and that the Beneficiary is authorized to provide instructions to the Account Holder's financial institution to effect payments consistent with this authorization. This form does not waive any rights the Account Holder has under applicable law.

The Account Holder agrees that the Beneficiary may rely on electronically transmitted copies or facsimiles of this authorization and that such copies shall be deemed originals for all purposes. The Account Holder further acknowledges that the Beneficiary may assess late fees, interest, and collection costs as provided in the applicable underlying agreement if payments are not timely made.
