PAYMENT BILLING ADDENDUM

RECITALS

Past due amounts shall accrue interest at the rate of from the due date until paid. The parties agree any late fee or interest is intended as a reasonable estimate of administrative costs incurred due to late payment and not a penalty.

8. Disputed Charges

Client must notify Billing Party in writing of any disputed charge within days of the invoice date, identifying the invoice number, amount, and specific basis for the dispute. The parties will act in good faith to resolve any dispute promptly; undisputed amounts remain payable in accordance with this Addendum.

Taxes, duties, or other governmental charges imposed on the transactions contemplated by this Addendum shall be the responsibility of unless otherwise required by applicable law.

10. Confidentiality

Each party shall maintain confidential the other party's non-public billing, payment, and account information obtained under this Addendum and shall use such information only for purposes of performing obligations under this Addendum, except as compelled by law.

11. Term and Termination

This Addendum shall remain in effect for the term of the Agreement unless earlier terminated in accordance with the Agreement. Either party may terminate this Addendum upon days' prior written notice to the other party; termination does not relieve Client of obligations to pay amounts accrued through the effective date of termination.

12. Governing Law

This Addendum shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.

13. Notices

All notices required or permitted under this Addendum shall be in writing and delivered to the addresses below or as updated in writing by the parties.

14. Miscellaneous

Except as amended by this Addendum, all terms of the Agreement remain in full force and effect. This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
