Either party may terminate or revoke this payment change only in accordance with the notice period above and any applicable termination provisions in the governing agreement. Termination does not release either party from liability for payments accrued prior to termination.

Confidentiality

All bank account details and payment credentials provided in connection with this request shall be treated as Confidential Information. Neither party shall disclose such Confidential Information except to those employees, agents, or service providers who need access to effectuate the payment change and who are bound by confidentiality obligations no less protective than those herein. This confidentiality obligation survives termination of the amendment for a period of years.

Representations and Warranties; Authorization

The signatory for each party represents and warrants that they are duly authorized to request, approve, and execute this payment change. Client warrants that the payment account information provided is accurate and that funds are available for authorized debits. Service Provider warrants that it will use reasonable care in processing the change and will not initiate debits to the new account without authorization as specified herein.

Governing Law; Entire Agreement
