This Payment Commission Schedule (the Schedule) is entered into as of Effective Date: by and between the Payor and the Payee identified below. This Schedule supplements and is governed by the terms of the Agreement referenced below.

The Payor engages the Payee to procure and/or solicit transactions as described in this Schedule. Unless otherwise defined herein, capitalized terms shall have the meanings set forth in the Agreement. For purposes of this Schedule:

"Commissionable Amount" means the revenue or sales volume specified as the basis for a commission line, net of discounts, returns, taxes collected on behalf of taxing authorities, and third-party fees unless otherwise specified.

Payment Calculation & Timing

Commissions will be calculated in the currency of the underlying sale. Unless otherwise stated, payments shall be made within days after the end of the period in which the payment trigger occurs and Payor has collected funds. Rounding: commissions are rounded to the nearest cent.

Reporting, Invoicing & Documentation

Payee shall submit a written commission statement or invoice in a form acceptable to Payor within days of the payment period. Payor will provide, on request, a statement of calculation. Payor reserves the right to audit Payee records related to commissions with reasonable prior notice and during normal business hours.

Chargebacks, Adjustments & Recoupment

If a sale is refunded, reversed, charged back, or otherwise credited to a customer, Payor may recover previously paid commissions for that transaction. Payor's right to recoup extends for a period of months from the date of payment, subject to applicable law. Recovery may be by offset against future commission payments or direct invoice to Payee.

Taxes & Withholding

Payee is responsible for all federal, state, local and foreign taxes, contributions and other withholdings on commissions unless Payor is required by law to withhold. Select applicable representation:

Confidentiality, Term & Termination

Commission rates and related calculations are Confidential Information. This Schedule will remain in effect until terminated in accordance with the Agreement or by either party upon days' written notice. Termination does not eliminate Payor's right to recover overpayments or to pay commissions for transactions consummated prior to termination in accordance with the Schedule.

Dispute Resolution & Governing Law

Parties shall use good faith efforts to resolve disputes regarding commission calculations within thirty (30) days of written notice. The laws of the state of shall govern this Schedule, without regard to choice of law principles.
