WHEREAS, Seller issues invoices to Buyer for goods and/or services; and WHEREAS Seller agrees to provide a prompt payment discount to Buyer on the terms set forth below; and WHEREAS the parties desire to set forth the procedures and conditions governing such discounts.

For purposes of this Agreement, "Invoice" means any invoice issued by Seller to Buyer that identifies amounts owed for delivered goods or services. "Discount Period" means the number of days after the Invoice Date during which payment qualifies for the discount. "Net Terms" means the maximum number of days after Invoice Date by which full payment is due.

Discount Terms

Discount Offered: Buyer shall be entitled to a prompt payment discount of % if payment is received within days after the Invoice Date. The net payment term for all invoices not qualifying for the discount is days.

Discount Basis: The discount applies to the invoice subtotal before taxes, shipping, and other separately stated charges unless otherwise agreed in writing. Discount may be applied to partial payments only if specifically authorized in writing by Seller: Authorize partial payment discount?

Payment Procedures

Payment Application: Payments shall be applied first to outstanding discounts claimed, then to principal invoiced amounts, unless Seller provides written payment application instructions. Accounting, Records and Audit

Records: Each party shall retain accounting records supporting invoices, payments, and discounts for a period of years following the Invoice Date.

Representations, Warranties and Indemnities

Each party represents and warrants that it has full corporate or entity power and authority to enter into this Agreement, that the execution and performance thereof are not in conflict with any other agreement or law, and that the individuals executing this Agreement are authorized to do so. Buyer shall indemnify Seller for any taxes, penalties, or losses attributable to Buyer's misuse of the discount.

Default, Remedies and Termination

Default: In the event Buyer fails to pay within Net Terms or otherwise breaches this Agreement, Seller may suspend discount privileges, accelerate obligations for unpaid invoices, and seek all remedies available at law or in equity. Termination of this Agreement shall not relieve Buyer of obligations for invoices issued prior to termination.

Taxes and Other Charges

Unless otherwise agreed in writing, Buyer is responsible for any sales, use or similar taxes arising from transactions and shall pay such taxes in addition to amounts eligible for any discount. If Seller is required to collect tax on discounted amounts, the tax will be calculated consistent with applicable law.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact addresses provided above or to such other address as either party may designate in writing in accordance with this section.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflicts of law principles.
