This Payment Invoice Proposal constitutes an offer from the Issuer to provide the goods and/or services set forth above in accordance with the amounts and schedule shown. Acceptance shall be evidenced by written acknowledgement from the Client or by the Client's issuance of a purchase order referencing the Invoice/Proposal No. above. Issuer reserves the right to require the stated deposit prior to commencing performance.

Taxes and Withholdings: Unless otherwise stated, prices do not include applicable sales, use, value-added or other taxes. Client is responsible for all taxes, duties, and governmental charges associated with the goods or services, except taxes based on Issuer's net income.

Late Payment: Amounts not paid when due shall accrue interest at a rate of % per month (or the maximum permitted by law), and the Client shall be responsible for all costs of collection, including reasonable attorneys' fees.

Reimbursable Expenses: Pre-approved out-of-pocket expenses incurred in the performance of services will be invoiced and are payable by the Client. Issuer will provide receipts upon request.

Limitation of Liability: Except for liability arising from gross negligence or willful misconduct, Issuer's total liability for any claim arising out of or relating to this Proposal shall not exceed the aggregate amount actually paid by Client to Issuer under this Invoice/Proposal.
