Indemnity: Payee will indemnify and hold harmless Payer and its agents from any losses, claims, liabilities, or penalties arising from incorrect payee information, fraudulent instructions, or Payee's failure to comply with applicable law in connection with this payout.

Cancellation and Changes: Any request to change or cancel a payout must be submitted in writing and is subject to Payer's approval and the receiving bank's cut-off and recall policies. Payer is not liable for actions taken by financial institutions in accordance with submitted payment instructions.

Governing Law and Dispute Resolution: This payout instruction shall be governed by the laws of the jurisdiction specified below. Any dispute relating to these payment instructions shall be resolved by the courts of that jurisdiction unless the parties agree otherwise in writing.
