What the Payment Prepayment Addendum Is

A Payment Prepayment Addendum is a contract amendment that documents an advance payment or change to payment timing under an existing agreement. It specifies the prepayment amount, how prepayments apply to future invoices, any interest or refund terms, and the effective date. The addendum binds the parties to revised payment obligations and becomes part of the base agreement when executed by authorized signatories.

When an Addendum Protects Cash Flow and Expectations

Use a Payment Prepayment Addendum to formalize advance payments, reduce billing disputes, and allocate risk around refunds or credit application. It clarifies how prepayments are credited, when services begin, and remedies for nonperformance.

When an Addendum Protects Cash Flow and Expectations

Who Typically Prepares and Signs This Addendum

Professionals who manage contracts, cash flow, or client onboarding commonly use prepayment addenda; these documents fit both B2B and B2C relationships.

  • Real estate managers and landlords adjusting rental or escrow payment schedules for new tenants.
  • Construction contractors and subcontractors securing funds for materials or mobilization before work starts.
  • Service providers and vendors that require deposits for long-lead items or project kickoff.

Properly completed and signed addenda reduce billing disputes and provide a clear audit trail for accounting and tax reporting.

Step-by-Step: Completing the Addendum

Follow these steps in order to create a clear, enforceable Payment Prepayment Addendum and collect signatures efficiently.

  • 01
Draft Terms: Define amount, timing, application, refunds, and any interest or fees.
  • 02
Verify Parties: Confirm legal entity names and signatory authority before sending.
  • 03
Choose Signing Method: Decide on electronic signing, in-person signing, or notarization as required.
  • 04
Record and Distribute: Store signed copies with original agreement and notify accounting for posting.

Configuring a Digital Workflow for the Addendum
