PAYMENT PROCESSING AGREEMENT

Recitals and Scope

Processor operates payment processing services and the Merchant desires to engage Processor to accept, route, authorize and settle card and electronic payments on Merchant's behalf in accordance with the terms of this Agreement. Processor will provide transaction processing, settlement, reporting and related services described herein.

Definitions (selected)

"Chargeback" means a transaction reversal initiated by a cardholder's issuing bank. "Reserve" means funds withheld or retained by Processor as security for Merchant liabilities under this Agreement. "Settlement" means transfer of Net Funds to Merchant's designated account after fees and adjustments.

Services

Processor shall provide electronic payment acceptance, authorization, clearing and settlement, fraud screening, operational reporting, and ancillary services described in this Agreement. Merchant authorizes Processor to act as Merchant's agent for purposes of routing transactions to card networks and acquiring banks.

Fees, Rates and Billing

Merchant agrees to pay Processor the fees, interchange, assessments and any other amounts specified in the fee schedule below. Fees are exclusive of taxes unless otherwise stated. Processor may change fees with prior written notice as provided in this Agreement.

Fee Description Rate / Amount Minimum Frequency

Subtotal, Taxes and Additional Charges will be reflected on Processor statements. Merchant shall reimburse Processor for assessments, fines, chargebacks, investigation fees and third-party costs incurred as a result of Merchant's acts or omissions.

Settlement, Funding and Reserves

Processor will remit Net Funds to Merchant's Settlement Account subject to holds for Chargebacks, fees and Reserves. Processor may establish a rolling or fixed Reserve at Processor's discretion to cover potential liabilities.

Chargebacks, Refunds and Adjustments

Merchant is responsible for valid disputes and chargebacks. Processor will notify Merchant of Chargebacks and Merchant must respond within the timeframes mandated by card networks. Merchant hereby authorizes Processor to debit Merchant's Settlement Account for Chargebacks, fees and adjustments.

Compliance and Security

Merchant shall maintain all applicable data security and privacy standards, including compliance with card network rules and PCI Data Security Standards. Processor may suspend or terminate services if Merchant fails to cure material noncompliance.

Representations, Warranties and Covenants

Each party represents that it has full power and authority to enter into this Agreement. Merchant warrants that it will not engage in prohibited or high-risk transactions, will comply with applicable law and card network standards, and will provide truthful transaction information to Processor.

Indemnification and Limitation of Liability

Merchant shall indemnify, defend and hold Processor harmless from all losses, claims, fines, penalties and expenses arising from Merchant's breach, fraud, prohibited transactions, or violation of applicable law. Except for willful misconduct or gross negligence, Processor's aggregate liability shall not exceed the fees paid by Merchant in the prior three (3) months.

Term, Renewal and Termination

The initial Term shall commence on the Effective Date and continue for the period specified below. Thereafter the Agreement shall renew as provided herein. Either party may terminate for material breach if the breach is not cured within the specified cure period.

Confidentiality and Data Protection

Each party shall maintain the confidentiality of the other's confidential information and shall use appropriate administrative, technical and physical safeguards to protect cardholder data and personal information in accordance with applicable law.

Notices

All notices required under this Agreement shall be in writing and delivered to the address for each party set forth below or to such other address as either party may designate by written notice.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles. Parties shall attempt to resolve disputes in good faith prior to initiating litigation.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof. Any amendment must be in writing and signed by authorized representatives of both parties.
