WHEREAS, Payor desires to engage Payment Service Provider to originate, receive, process and disburse payments pursuant to the terms below; and WHEREAS, Payment Service Provider agrees to provide such services subject to the representations, warranties and obligations set forth herein. This Agreement is effective as of (Effective Date).

Authorization and Scope of Services

Payor hereby authorizes Payment Service Provider to initiate and receive payment orders, settle receivables, reconcile remittances, and remit funds to designated payees in accordance with payment instructions provided by Payor. Payment Service Provider shall act only on authenticated instructions and in accordance with applicable banking and payments rules.

Fee Schedule and Payment Terms

Payor agrees to pay Payment Service Provider fees as set forth below. Payment Service Provider may deduct fees from collected funds prior to remittance unless otherwise instructed in writing.

Representations, Warranties and Compliance

Each Party represents and warrants that it has full corporate or organizational power to enter into this Agreement, that its execution and delivery will not violate any other agreement, and that it will comply with all applicable laws, rules and industry standards relating to payments, anti-money laundering, sanctions, and data protection.

Confidentiality and Data Handling

Payment Service Provider shall treat all non-public information received from Payor as confidential, shall use such information only to perform the services described herein, and shall implement commercially reasonable administrative, technical and physical safeguards to protect payment data.

Indemnification and Liability

Each Party shall indemnify and hold harmless the other Party from claims arising out of its breach of this Agreement or its negligence. Except for willful misconduct or gross negligence, neither Party shall be liable to the other for consequential, incidental, or punitive damages.

Term; Termination; Default

This Agreement commences on the Effective Date and continues until terminated by either Party upon thirty (30) days' written notice. Either Party may terminate immediately for material breach or insolvency. Upon termination, Payment Service Provider shall remit collected funds less permitted deductions and outstanding fees in accordance with agreed settlement procedures.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as a Party designates in writing.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws specified by the Parties below.
