Term and Termination

This Receipt relates to services or goods provided under the parties' agreement effective as of and continuing until , unless earlier terminated in accordance with the agreement.

Confidentiality obligations shall survive termination of this Receipt and any underlying agreement for a period of three (3) years except for trade secrets, which shall survive for as long as they qualify as trade secrets under applicable law.

Governing Law

This Payment Receipt Card and any dispute arising from it shall be governed by and construed in accordance with the laws of the State of , excluding its conflicts-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes.

Entire Agreement; Miscellaneous
