Representations, Release and Authority

The Payer represents that it is authorized to make the payment specified herein and that the payment is not subject to any outstanding lien, set-off or encumbrance other than those disclosed in writing to the Payee prior to execution. The Payer hereby authorizes release of the funds described in this document to the Payee in accordance with the Payment Method and Instructions above.

The Payee acknowledges receipt of the specified payment when funds are made available to the Payee's designated account or when a check is delivered and cleared, and upon such receipt the Payee releases and forever discharges the Payer from any further claims, liabilities or obligations relating to the payment subject to any express written reservation agreed to in this document.

The Parties further agree that this Release is intended to be a complete and final release with respect to the payment described herein and shall be binding upon their respective agents, successors and assigns. Each Party represents and warrants that the signer has full power and authority to execute this Release and to bind the Party for whom the signer executes this Release.

The Payee agrees to indemnify and hold the Payer harmless from any claim, demand or action arising from inaccurate banking instructions provided by the Payee or from the Payee's breach of any representation herein. The Payee authorizes any financial institution to rely upon this Release and to debit or credit accounts as necessary to effect the payment.

This Release is effective as of the Effective Date set forth below, provided all contingencies specified in this Release have been satisfied. If payment is conditional and conditions are unmet, the Payer's obligation to pay is suspended until such conditions are satisfied in writing.
