PAYMENT REVENUE SHARE AGREEMENT

For purposes of this Agreement: "Gross Revenue" means all revenue actually received by Company from the monetization of the revenue streams identified in the Revenue Share Schedule, without reduction for costs except as expressly provided herein. "Net Revenue" means Gross Revenue less permitted deductions expressly set forth in Section 3.

Payment Terms

Payment Frequency: . Payments shall be calculated based on the applicable allocation basis and paid in the currency in which Company receives the revenue unless otherwise agreed in writing.

Late Payment: Amounts not paid when due shall accrue interest at , or the maximum rate permitted by applicable law, whichever is lower. In addition, Company may offset disputed or incorrectly paid amounts against future payments after providing written notice to Recipient.

Company will provide to Recipient regular reports supporting all payments (including Gross Revenue and calculations underlying Net Revenue) in the agreed format. Reports shall be delivered via within days after the end of each reporting period.

Taxes and Withholding

Each party shall be responsible for its own taxes arising from the payments made or received under this Agreement. Company may withhold amounts from payments if required by applicable law and will provide Recipient with documentation of any such withholding. Recipient shall provide Company with any tax forms reasonably requested to evidence tax status.

Representations, Warranties and Covenants

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement, that the execution and performance will not violate any other agreement or applicable law, and that it will comply with all applicable laws in performing its obligations hereunder.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct. Except for liability arising from fraud, willful misconduct, or a party's indemnification obligations, neither party shall be liable for consequential, incidental, special or punitive damages, and aggregate liability shall be limited to the amounts paid or payable under this Agreement during the twelve (12) months preceding the claim.

Term and Termination

Term: This Agreement shall commence on the Effective Date and continue for months, and shall automatically renew for successive terms unless terminated by either party with days' written notice prior to the end of the then-current term.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure within days after receipt of notice of such breach.

Confidentiality

The parties shall keep confidential all non-public information disclosed in connection with this Agreement (including reports, financial data and business terms) and shall use such information only for the purposes of performing this Agreement. Confidential information shall not include information that becomes publicly available other than through a breach of this Agreement.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact information set forth above or to the notice addresses provided below. Notices shall be deemed given upon personal delivery, three (3) business days after deposit with a nationally recognized overnight courier, or the next business day if delivered by email with confirmation.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes promptly through negotiation. If unresolved, disputes shall be resolved by binding arbitration in the county of the Company's principal place of business unless the parties agree otherwise.

Miscellaneous

Entire Agreement: This Agreement (including any exhibits or schedules) constitutes the entire agreement between the parties and supersedes all prior agreements relating to its subject matter. Amendments must be in writing and signed by both parties. Neither party may assign this Agreement without the prior written consent of the other, except that Company may assign to an affiliate or in connection with a sale of substantially all of its assets.
