Payee hereby releases and forever discharges Payor, and its affiliates, officers, agents and employees, from any and all claims, demands, actions, causes of action, liabilities and obligations, whether known or unknown, arising out of or relating to the matters identified in this Receipt through the Settlement Payment Date, except as expressly reserved in this document.

This Receipt does not waive any party's rights with respect to obligations that arise after the Settlement Payment Date or obligations expressly carved out in writing by the parties.

TERM AND TERMINATION

This Receipt is effective as of the Effective Date indicated below and remains binding solely for the purpose of documenting the settlement referenced herein. Any continuing obligations expressly set forth in this Receipt shall continue until their stated termination. For all other purposes, the parties acknowledge that the obligations addressed by this Settlement are discharged upon payment in full.

CONFIDENTIALITY

The parties agree that the terms and amounts of this Settlement are confidential and shall not be disclosed to third parties except (i) as required by law or court order, (ii) to parties' legal or financial advisors who agree to keep such information confidential, or (iii) as otherwise agreed in writing. The duty of confidentiality shall survive termination of this Receipt for a period of years.

GOVERNING LAW
