WHEREAS, the parties intend this Payment Total Amount Form to govern the financial terms of the transaction described in the Scope of Work below.

Late Payment: If any payment due under this Agreement is not received by Vendor when due, Client shall pay a late fee equal to per month on the outstanding balance, and an administrative late charge of (flat fee) per missed payment. These remedies are cumulative and do not limit any other remedies available at law or equity.

Confidential information does not include information that is or becomes publicly available without breach of this Agreement or that was already in the Recipient's lawful possession.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the courts in that jurisdiction for disputes arising under this Agreement.

Entire Agreement and Miscellaneous

This Agreement (including any attachments and referenced invoices) constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, representations, or agreements, whether written or oral. No amendment shall be effective unless in writing and signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
