By submitting this Payment Transfer Funds instruction, the Ordering Customer authorizes the financial institution to debit the ordering account and effect the transfer to the named beneficiary in accordance with this instruction. The Ordering Customer represents and warrants that the information provided is true, complete and accurate; that the Ordering Customer is authorized to transact on the account; and that the funds are not derived from illicit activity.

The Ordering Customer agrees to comply with all applicable anti-money laundering, sanctions and export control laws. The financial institution may refuse, block or delay execution if required by law or internal policy, and shall not be liable for any loss or delay resulting from such action.

Fees and charges associated with this transfer shall be applied in accordance with the Fee Allocation selection above and the institution's fee schedule. The Ordering Customer is liable for all fees, taxes and assessments arising from this instruction unless otherwise agreed in writing.

Cancellation or amendment requests must be received prior to the institution's processing cutoff time and are subject to acceptance by the financial institution. The institution is not liable for transfers that are irrevocably processed prior to receipt of any amendment or cancellation request.

The Ordering Customer shall indemnify and hold harmless the financial institution, its affiliates and agents from any claims, losses or expenses arising from the Ordering Customer's breach of these representations or from inaccurate transfer instructions.

This instruction and any disputes arising hereunder shall be governed by the laws selected in the account agreement with the financial institution. If no governing law is specified in the account agreement, the laws of the jurisdiction where the financial institution maintains its principal place of business shall apply.
