PAYMENT TERMS

Payment Amount: $ shall be paid in accordance with the schedule below and subject to the terms contained herein. Payment shall be made only upon satisfactory verification of delivery and acceptance of goods or services by Payor.

Late Payment Fee: If any undisputed amount is not paid within days after the due date, interest shall accrue at or the maximum legal rate, whichever is lower.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the applicable jurisdiction identified by Payor's principal place of business, excluding choice-of-law rules that would apply another jurisdiction's laws. This Payment Voucher Sheet, together with any referenced attachments and approved invoices, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals, and understandings, whether written or oral.
