PAYMENT WD CHECKS

This Payment WD Checks Agreement (Agreement) is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client requires the issuance, management and reconciliation of withdrawal checks and related payment instruments (WD Checks) for certain payees and obligations of Client; and

WHEREAS, Provider has the personnel, systems and authority to prepare, issue, endorse, deliver and reconcile WD Checks on behalf of Client in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective duties, payment terms, confidentiality obligations and other terms governing the issuance and processing of WD Checks.

SCOPE OF WORK

Provider shall, consistent with Client instructions and applicable law, prepare, print, issue, endorse (when required), deliver and reconcile WD Checks drawn on Client-designated accounts, maintain records of issued checks, and provide periodic statements and reconciliations to Client.

CHECKS AND ACCOUNT INFORMATION

PAYMENT TERMS

Client shall compensate Provider for services rendered under this Agreement as set forth below. Unless otherwise stated, all amounts are in U.S. dollars.

Provider may suspend issuance of WD Checks if Client fails to pay amounts when due following written notice and a cure period of .

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon delivering written notice to the other party at least prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure within after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party (Recipient) shall hold all non-public information of the other party (Discloser) in strict confidence and shall not use or disclose such information except as necessary to perform its obligations under this Agreement. Confidential information includes, without limitation, payee lists, account identifiers, check numbers, reconciliation reports and any non-public business or financial information. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years.

Notwithstanding the foregoing, Confidential Information does not include information that: (a) is or becomes generally available to the public other than by a breach of this Agreement; (b) was rightfully in Recipient's possession prior to receipt from Discloser; or (c) is independently developed by Recipient without use of Discloser's Confidential Information.

INDEMNIFICATION AND LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against losses, liabilities, claims and expenses arising out of the indemnifying party's gross negligence, willful misconduct or material breach of this Agreement. In no event shall either party be liable for indirect, incidental, consequential or punitive damages, except for liabilities arising from fraud or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any schedules or exhibits executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or waiver must be in writing and signed by both parties.
