The payer authorizes one or more wire transfers in the amount of in accordance with the instructions above. Payment shall be made in accordance with the following schedule:

Late payment shall incur interest at % per month on the outstanding amount, calculated daily from the due date until paid in full. Payer shall also be responsible for any costs reasonably incurred to collect overdue amounts.

Cut-off for same-day processing is for transfers initiated by the payer's bank. All transfers are subject to receiving bank processing times and intermediary bank delays.

Either party may terminate this authorization earlier for material breach if the breaching party does not cure such breach within the notice period specified above. Termination does not relieve the payer of obligations incurred prior to termination.

CONFIDENTIALITY

Each party shall maintain confidentiality of the other's non-public information disclosed in connection with this authorization, using reasonable care and not less than the care it uses to protect its own confidential information. Confidential information excludes information that is publicly known, independently developed, or required to be disclosed by law or competent authority.

REPRESENTATIONS, WARRANTIES AND COMPLIANCE

Each party represents and warrants that it has the full corporate power and authority to enter into this authorization, to provide the bank details and instructions contained herein, and that the execution and performance of its obligations will not violate any law, contract, or other obligation. Payer warrants that funds sent are not derived from illegal activities and that both parties will comply with applicable anti-money laundering, sanctions, and export control laws.

Beneficiary agrees to notify payer promptly of any change to account details and acknowledges that payer shall not be liable for transfers made in good faith to the account details provided prior to receiving written notification of change.

LIMITATION OF LIABILITY AND INDEMNITY

Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental or consequential damages arising from execution, delay, or non-execution of wire transfers. The indemnifying party shall indemnify and hold harmless the other against third-party claims arising from its breach of this agreement or misrepresentations of account information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to its conflict of law provisions.

ENTIRE AGREEMENT
