Absent timely and substantiated dispute, the Payer shall be entitled to retain the withheld funds until resolution of the underlying claim or obligation.

The Payee acknowledges that withholding does not waive any rights of either party to seek final determination by arbitration, administrative adjudication, or a court of competent jurisdiction. In the event the withheld amount is later determined not to be owed, the Payer shall remit the refunded amount plus any interest or adjustments only as required by governing law or the parties' agreement. The Payee shall indemnify and hold harmless the Payer from liabilities arising from false or fraudulent claims submitted in connection with this dispute, except where such liability arises from the Payer's bad faith.
