Provider represents that all listed services were rendered in accordance with the written service agreement between Provider and Client. Client acknowledges responsibility for timely payment of amounts due for payroll services and for any pass-through labor, wage, payroll tax, benefit or other disbursements which Provider has advanced on Client's behalf.

Client is responsible for verifying payroll data prior to submission for processing. Provider shall not be liable for losses arising from Client-supplied errors, omissions, or failure to timely deliver required payroll data. Provider may charge interest as set forth in the Payment Terms for late payment and may suspend services for nonpayment until all outstanding amounts are paid.

Taxes: Unless otherwise indicated, amounts billed for payroll taxes and statutory withholdings are pass-through obligations and are the legal responsibility of Client. Provider will remit payroll taxes as agent only to the extent permitted by applicable law and under separate authorizing documentation.

Indemnity: Client shall indemnify and hold Provider harmless from any claims, fines, penalties, or liabilities arising from Client's failure to comply with applicable employment, tax, or wage laws, except to the extent caused by Provider's gross negligence or willful misconduct in performing contracted payroll services.
