Payroll Processing Agreement

This Payroll Processing Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Processor Name: .

WHEREAS

WHEREAS, Client engages Processor to perform payroll processing and related administrative services for Client's employees in accordance with the terms set forth herein; and

WHEREAS, Processor represents that it has the requisite expertise, software, systems, personnel and regulatory knowledge to perform payroll services and to comply with applicable payroll tax and employment obligations as directed by Client; and

WHEREAS, the parties desire to set forth the scope, fees, confidentiality, liabilities and other terms governing the payroll services to be provided.

Scope of Work

Processor shall provide payroll processing services for Client, including but not limited to the services selected below and the detailed description in the Scope of Work field. Processor will perform such services in compliance with applicable federal, state and local laws, and with generally accepted payroll practices.

Payment Terms

Client shall pay Processor the fees set forth below in consideration for the services. Fees are exclusive of third-party taxes, levies and government charges, which shall be borne by Client unless otherwise agreed in writing.

Payment shall be due within days of invoice. Late payments shall incur the Late Payment Fee above and interest at the lesser of 1.5% per month or the maximum permitted by law.

Bank Debit Authorization (if applicable)

Client authorizes Processor to initiate debit entries for fees and deposits related to payroll processing subject to prior written instruction. Client represents that it is authorized to provide the following account information:

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party that remains uncured for 15 days after written notice of such breach, or for insolvency or bankruptcy of the other party.

Confidentiality

"Confidential Information" means any non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") relating to employees, compensation, tax filings, payroll data, business operations or other proprietary information. Receiving Party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information solely for performance of this Agreement; and (c) not disclose Confidential Information to third parties except to employees, subcontractors or professional advisors on a need-to-know basis subject to confidentiality obligations no less protective than this Agreement.

Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, or for so long as the information remains confidential under applicable law, whichever is longer.

Data Security and Compliance

Processor shall implement and maintain administrative, physical and technical safeguards appropriate to the sensitivity of payroll data, including encryption of data in transit and at rest, access controls, logging and periodic security assessments. Processor shall promptly notify Client of any confirmed data breach affecting Client's payroll data and shall cooperate in breach response and mitigation efforts.

Liability and Indemnification

Each party shall indemnify, defend and hold harmless the other party from third-party claims arising out of its gross negligence or willful misconduct in performing its obligations under this Agreement. Except for breach of confidentiality, indemnification obligations or damages resulting from gross negligence or willful misconduct, neither party's aggregate liability for any claim arising out of this Agreement shall exceed the total fees paid by Client to Processor under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the governing_state without regard to its conflicts of law principles. The parties consent to the jurisdiction and venue of the state and federal courts located in the governing_state for resolution of disputes.

This Agreement, including any exhibits or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations and understandings. No amendment shall be effective unless in writing and signed by both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except that Processor may assign to an affiliate or in connection with a sale of substantially all of Processor's assets. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
