WHEREAS, Service Provider is duly engaged in the business of providing payroll processing, payroll tax filing, wage reporting, and related human resources support to business clients in accordance with applicable federal and state law; and

WHEREAS, Client desires to obtain a quote from Service Provider for payroll services described herein and intends to rely on the terms, fees, and assumptions set forth in this Payroll Service Quote; and

WHEREAS, Service Provider is willing to provide such services to Client on the terms set forth below, subject to an executed agreement or acceptance as indicated in this Quote.

Late Payment: Service Provider may charge a late fee of % per month on outstanding balances, compounded monthly, or the maximum permitted by law, whichever is less.

Additional Fees: Fees for tax payments, delinquent filings, corrections, garnishment processing, or other third-party charges will be invoiced separately at cost plus an administrative fee of %.

Either party may terminate services for convenience upon providing written notice to the other party at least days in advance. Termination for cause is effective immediately upon written notice if the breaching party fails to cure a material breach within 10 days of notice.

Upon termination, Client remains obligated to pay fees for services performed and unrecoverable third-party costs incurred through the effective termination date. Service Provider will provide reasonable assistance to transition payroll records upon payment of outstanding balances.

CONFIDENTIALITY

Each party shall treat as confidential all nonpublic information disclosed by the other party in connection with this Quote and any resulting services, including employee data, payroll records, tax filings, compensation details, and other personally identifiable information. Confidential information shall not be disclosed to third parties except as required by law or with the disclosing party's prior written consent. The receiving party shall use at least the same degree of care to protect confidential information as it uses for its own confidential information, but in no event less than reasonable care.

GOVERNING LAW

This Quote and any subsequent agreement between the parties shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Quote, together with any attachments, exhibits, and mutually executed statements of work, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, and agreements, whether written or oral.
