PERCENT AGREEMENT

This Percent Agreement ("Agreement") is made and entered into as of by and between , and .

Either party may terminate this Agreement for material breach by the other party upon written notice if the breach is not cured within days following receipt of notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to termination, including payment obligations.

Confidentiality

Each party shall hold in confidence and shall not disclose to any third party Confidential Information of the other party. "Confidential Information" means non-public business, financial, technical, customer or pricing information disclosed in connection with this Agreement. Confidential Information does not include information that: (a) is or becomes generally known to the public without breach of this Agreement; (b) was rightfully in the receiving party's possession prior to receipt from the disclosing party; (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (d) is required to be disclosed by law, provided the receiving party gives prompt written notice to the disclosing party and cooperates to seek protective relief.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. The parties agree to seek resolution of disputes in good faith and, if necessary, to submit disputes to binding arbitration in that jurisdiction, unless otherwise mutually agreed in writing.

Miscellaneous

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except to a successor in interest by merger or sale of substantially all assets, provided the assignee assumes all obligations hereunder.

Amendment: This Agreement may be amended or modified only by a written instrument signed by both parties.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence or willful misconduct in connection with this Agreement, subject to applicable limits under law.

Entire Agreement

This Agreement constitutes the entire agreement and understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
