PERCENTAGE AGREEMENT CONTRACT

This Percentage Agreement Contract (the "Agreement") is made and entered into as of Effective Date: by and between Party A: , a with its principal place of business at , and Party B: , a with its principal place of business at (each a "Party" and collectively the "Parties").

RECITALS

WHEREAS, Party A is engaged in the business of providing certain services, products, or assets for which Party A will receive revenue; and

WHEREAS, Party B has the capability to perform specified services, procurement, promotion, management, or other obligations that will contribute to the generation of revenue described below; and

WHEREAS, the Parties desire to allocate a portion of certain revenues or fees between them according to the percentage and terms set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Covered Revenue" means all gross receipts or fees actually received by Party A that are directly attributable to the products, services, contracts, or accounts specified in Schedule A and not otherwise expressly excluded by this Agreement.

"Net Receipts" means Covered Revenue less taxes collected, refunds, chargebacks, and third-party fees actually paid in connection with the Covered Revenue.

2. APPOINTMENT; SCOPE

Party A hereby engages Party B, and Party B accepts such engagement, to provide the services and perform the obligations described in Schedule A (the "Services"). Party B shall perform the Services in accordance with the standards of care and professionalism customary in the industry and in compliance with all applicable laws.

3. PERCENTAGE ALLOCATION; CALCULATION

Subject to the terms and conditions of this Agreement, Party A shall pay Party B a percentage of Net Receipts equal to (the "Percentage"). The Percentage shall apply only to Covered Revenue arising from the accounts, products, or services described in Schedule A.

Calculation of the Percentage shall be performed on a monthly basis unless otherwise agreed in writing. Net Receipts shall be computed in good faith and in accordance with generally accepted accounting principles consistently applied.

4. INVOICING AND PAYMENT

Party B shall submit an invoice to Party A detailing the calculation of Net Receipts and the Percentage payment due for the applicable period. Party A shall pay undisputed amounts within days from receipt of the invoice. Disputed amounts shall be resolved in good faith by the Parties within thirty (30) days; undisputed portions shall remain payable as required herein.

Payments shall be made in United States Dollars by wire transfer, ACH, or other mutually agreed method to the account designated by Party B in writing.

5. RECORDS; AUDIT

Party A shall maintain complete and accurate records supporting the calculation of Covered Revenue and Net Receipts for a period of three (3) years following the date of each payment. Party B shall have the right, upon reasonable prior written notice of not less than business days, to audit such records during normal business hours. Any audit shall be conducted no more than once in any twelve (12) month period unless material discrepancies are found.

6. TERM AND TERMINATION

The initial term of this Agreement shall be months commencing on the Effective Date and shall automatically renew for successive one (1) year terms unless either Party provides written notice of non-renewal not less than sixty (60) days prior to the expiration of the then-current term.

Either Party may terminate this Agreement for material breach by the other Party if such breach is not cured within thirty (30) days after receipt of written notice specifying the nature of the breach. Termination does not affect payment obligations accrued prior to termination.

7. CONFIDENTIALITY

Each Party agrees to maintain in confidence and not to disclose or use except in performance of this Agreement any confidential or proprietary information of the other Party. Confidential information does not include information that is or becomes publicly available other than by breach of this Agreement, or that is rightfully received from a third party without restriction.

8. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that it has full corporate or legal power to enter into this Agreement and to perform its obligations hereunder, that the execution and delivery of this Agreement has been duly authorized, and that this Agreement constitutes a legal, valid and binding obligation enforceable in accordance with its terms.

9. INDEMNIFICATION

Each Party (the "Indemnitor") shall indemnify, defend and hold harmless the other Party (the "Indemnitee") from and against any third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of or resulting from the Indemnitor's gross negligence, willful misconduct, or breach of this Agreement.

10. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF EACH PARTY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED AN AMOUNT EQUAL TO THE TOTAL PAYMENTS MADE OR PAYABLE TO PARTY B UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. AMENDMENT; WAIVER

No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties. The failure of either Party to enforce any right or provision shall not constitute a waiver of future enforcement of that right or provision.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below, without regard to its conflict of law principles.

14. ENTIRE AGREEMENT

This Agreement, together with any schedules or exhibits attached hereto, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

15. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the Parties shall negotiate in good faith to replace the invalid provision with a valid provision that, to the greatest extent possible, achieves the Parties' original intent.

16. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signature by electronic means or scanned signature shall be binding as an original.
