What a Performance Based Agreement Is and when it applies

A Performance Based Agreement is a contract that ties payment, deliverables, milestones, or continued engagement to specified performance measures. It defines measurable objectives, acceptance criteria, reporting requirements, remedies for underperformance, and duration. Commonly used in procurement, services, consulting, and construction, the document shifts focus from inputs to outcomes and sets objective metrics for evaluation, payment schedules, and dispute resolution. Well-drafted language reduces ambiguity about expectations, measurement methods, and incentives, making enforcement and post‑performance review straightforward for both operational and legal teams.

Why use a Performance Based Agreement for clearer outcomes

Linking compensation and obligations to measurable results clarifies expectations, aligns incentives, and simplifies performance assessment. For buyers it reduces oversight; for vendors it creates predictable payment triggers tied to validated deliverables and objective acceptance criteria, improving accountability and reducing disputes.

Why use a Performance Based Agreement for clearer outcomes

Who typically prepares and signs these agreements

Organizations and individuals that need measurable outcomes, reduced supervision, or incentive-based payments commonly use Performance Based Agreements.

  • Government procurement teams requiring deliverable-based contracts to manage vendor performance and budget risk.
  • Service providers and consultants structuring fees around milestones, metrics, and acceptance tests.
  • Facilities and property managers contracting maintenance or operations on uptime and service-level metrics.

Each party should confirm internal authority to enter performance terms and review compliance, reporting, and remedies before signing.

Core sections every professional Performance Based Agreement should include

A complete agreement balances measurable performance standards, clear payment mechanics, and defined remedies. The language must be specific enough to support objective measurement and enforcement while allowing operational flexibility for normal variances.

Performance Metrics

Explicit, measurable KPIs or acceptance criteria, including measurement method, sampling frequency, and success thresholds to avoid subjective disputes.

Scope of Work

Clear description of services, deliverables, and excluded tasks so both parties share a common understanding of responsibilities and boundaries.

Payment Terms

Tie payments to milestone completion or performance scores, state amounts or formulas, and detail invoicing and approval processes.

Reporting & Verification

Define required reports, data sources, audit rights, and independent verification procedures for performance measurement.

Remedies & Incentives

Specify liquidated damages, service credits, bonuses, cure periods, and termination rights tied to performance thresholds.

Governance & Disputes

Include change control, escalation paths, governing law, and dispute-resolution clauses such as mediation or arbitration.

Step-by-step: completing the Performance Based Agreement

Follow a logical sequence to reduce rework: define metrics, set payment triggers, confirm legal terms, review governance, then sign and archive.

  • 01
Draft metrics: Define clear KPIs and measurement methods.
  • 02
Set payments: Link amounts to specific milestones or scores.
  • 03
Legal review: Confirm governing law, liability, and remedies.
  • 04
Execute: Obtain authorized signatures and retain complete records.

How to configure an online workflow for this agreement

When using an eSignature platform, configure fields and routing to match the agreement’s approval flow and validation needs.

Field Configuration
Signature Field Place for each signer; set required and date auto-fill
Conditional Fields Show additional fields only when performance options apply
Signer Order Define sequential or parallel signing as per governance
Authentication Choose email, SMS code, or stronger ID verification

Where to send and file the completed agreement

Decide the routing path in advance: primary recipient, countersigners, legal counsel, and a secure records repository for retention.

  • Client/Buyer: Receive executed copy and payment schedule.
  • Vendor/Supplier: Retain signed agreement for obligations tracking.
  • Legal Counsel: Review any contract changes or disputes.
  • Records Repository: Store final PDF and audit trail securely.

Digital signing and technical requirements for e-submission

Use a platform that supports secure eSignatures, audit trails, and exportable signed PDFs to maintain an evidentiary record.

  • Document Formats: PDF, DOCX supported
  • Authentication: Email, SMS, or stronger
  • Integrations: CRM and cloud storage

Ensure the chosen solution can produce a tamper-evident signed document and a searchable audit trail showing signer identity, timestamps, and actions for enforceability and recordkeeping.

Principal legal and financial risks to watch for

Tax Penalties: IRC §6721 exposure
Unenforceability: Vague metrics can void remedies
HIPAA Violations: Potential civil penalties
I-9 Violations: Civil fines for paperwork errors
Signature Disputes: Authentication gaps weaken proof
Notary Failures: Recording or evidentiary rejection

Common drafting and preparation mistakes to avoid

  • Using vague performance descriptors without defined measurement methods, making acceptance subjective and dispute-prone.
  • Failing to tie payment to verifiable deliverables, which can delay payments and encourage churn or claims.
  • Omitting change-control and data sources for metrics, causing disagreements when data or measurement methods change.
  • Neglecting to confirm signer authority and authentication, risking enforceability or future signature challenges.
