Recitals

WHEREAS, Client desires to engage Performer to provide a dance performance at the Event described below, and Performer represents that it has the experience, personnel and capacity to render such performance in accordance with the terms of this Contract; and

WHEREAS, Client and Performer wish to set forth the terms and conditions under which such performance will be provided, including payment, technical requirements, and mutual obligations.

Either party may terminate this Contract for material breach if the breaching party fails to cure the breach within days following written notice. Client may cancel the performance without cause by providing written notice no fewer than days prior to the Performance Date; if canceled within that period, deposit shall be retained by Performer as liquidated damages unless otherwise agreed in writing.

Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not include information that is or becomes generally available to the public other than through a breach of this Contract, is lawfully obtained from a third party without restriction, or is independently developed without use of the other party's confidential information. The receiving party may disclose confidential information to its employees, contractors and advisors who have a need to know and who are bound by obligations of confidentiality at least as restrictive as those contained herein.

Insurance and Indemnification

Performer shall maintain general liability insurance with limits customarily required for live performance events and shall provide proof of insurance upon request. Performer agrees to indemnify, defend and hold harmless Client and its officers, employees and agents from and against any claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising from Performer's breach of its obligations, negligent acts or willful misconduct in connection with the performance, except to the extent caused by Client's negligence or willful misconduct.

Force Majeure

Neither party shall be liable for delays or failures in performance caused by events beyond its reasonable control, including acts of God, fire, flood, war, terrorism, pandemic, government action or labor disputes. If a Force Majeure event prevents performance of the services for a period exceeding days, either party may terminate this Contract without further liability, except for payment of services performed prior to the event.

Governing Law; Dispute Resolution

This Contract shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law principles. The parties shall attempt in good faith to resolve disputes through negotiation; if unresolved, disputes shall be resolved by binding arbitration in the same state pursuant to the arbitration rules in effect at the time of the dispute.

Entire Agreement

This Contract, including any attachments, riders and schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any modification or waiver of any provision of this Contract must be in writing and signed by both parties.
