PERFORMANCE ORCHESTRA AGREEMENT

RECITALS

WHEREAS, Presenter operates or manages the event identified in this Agreement and desires to procure a live orchestral performance for that event; and

WHEREAS, Orchestra represents that it possesses the professional qualifications, personnel, instruments, and technical capability to provide the requested live musical performance in accordance with the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and payments set forth below, Presenter and Orchestra agree as follows:

SCOPE OF WORK

Orchestra shall provide a live orchestral performance as described below. Orchestra will arrive prepared with instruments and personnel adequate to complete the performance in a professional manner consistent with industry standards.

PAYMENT TERMS

Total Fee payable by Presenter to Orchestra for the services described in this Agreement is:

Payment shall be made by the method agreed between the parties. Any amounts unpaid after the applicable due date shall accrue interest at the rate set forth below.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues through the performance and any agreed post-performance obligations unless earlier terminated in accordance with this Agreement.

Cancellation by Presenter more than the notice period above shall entitle Orchestra to retain the deposit and, if less than the notice period, to additional cancellation fees reasonably reflecting lost opportunity and planning costs.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party non-public information of the other party learned in connection with this Agreement, including but not limited to fee terms, technical riders, or proprietary arrangements. Confidential information does not include information that is or becomes public through no breach of this Agreement, or is required to be disclosed by law or court order provided the disclosing party gives prompt notice and cooperates in seeking protective measures.

INSURANCE, INDEMNIFICATION & PERMITS

Orchestra shall maintain general liability insurance and, where applicable, workers' compensation coverage for its personnel. Upon request, Orchestra shall provide a certificate of insurance evidencing coverage. Orchestra shall indemnify, defend and hold harmless Presenter from and against claims arising from Orchestra's negligent acts or omissions in the performance of services under this Agreement.

Presenter is responsible for obtaining and paying for any permits, licenses, or venue fees required for the performance unless otherwise agreed in writing. Orchestra shall cooperate in good faith with permit applications and logistical requests.

RECORDING, BROADCAST AND PUBLICITY

Neither party shall record, broadcast, stream, or otherwise exploit the live performance without the prior written consent of the other party. If recording or broadcast is permitted, parties shall negotiate in good faith compensation, crediting and usage rights in a separate written license.

 Presenter is permitted to record the performance under terms to be agreed in writing.

TECHNICAL REQUIREMENTS

FORCE MAJEURE

Neither party shall be liable for delays or failures to perform where such delays or failures are due to causes beyond the reasonable control of the affected party, including acts of God, labor disputes, governmental orders, pandemics, or severe weather. The affected party shall notify the other promptly and shall use reasonable efforts to mitigate the effects of such event.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments or riders signed by the parties, constitutes the entire agreement between Presenter and Orchestra with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Orchestra may subcontract individual musicians provided Orchestra remains responsible for full performance under this Agreement.
