This Performance Agreement ("Agreement") is made effective as of Effective Date: by and between Client Name: and Orchestra Name: .

WHEREAS

WHEREAS, Client engages Orchestra to provide a live musical performance described herein at the Venue identified below; and

WHEREAS, Orchestra represents that it possesses the necessary personnel, skill, equipment and licenses to deliver the agreed performance and will perform in a professional manner consistent with industry standards.

WHEREAS, the parties desire to set forth the terms and conditions governing the engagement, payment and related obligations.

Scope of Work

Orchestra shall provide orchestral performance services as described below, including all musicians, conductor, and required instruments and equipment unless otherwise specified in writing. Orchestra shall arrive sufficiently in advance to complete sound check and preparation consistent with the performance schedule.

Payment Terms

Client shall pay Orchestra the Total Fee set forth below in exchange for the services set forth in this Agreement.

Any undisputed amount not paid by the Balance Due Date shall accrue interest at the rate of percent per month (or the maximum permitted by law, if less). Client shall also be liable for reasonable collection costs and attorneys' fees.

Term and Termination

This Agreement commences on Start Date: and terminates on End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the scheduled performance. Either party may terminate for material breach if the breaching party fails to cure within 15 days after written notice of such breach.

In the event of Client cancellation within 30 days of the Performance Date, Client shall forfeit the Deposit and may be responsible for additional cancellation fees to compensate Orchestra for reasonable lost opportunities and preparations.

Confidentiality

Each party shall keep confidential all non-public business, financial, technical or other information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential ("Confidential Information"), and shall not use or disclose such Confidential Information except as necessary to perform under this Agreement or as required by law. Confidential Information does not include information that (a) is or becomes publicly available through no fault of the recipient; (b) was rightfully received from a third party without an obligation of confidentiality; or (c) is independently developed without use of the disclosing party's Confidential Information.

Indemnification and Insurance

Each party agrees to indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence or willful misconduct in connection with this Agreement. Orchestra shall maintain general liability insurance in amounts customary for similar performance engagements and shall provide evidence of insurance upon request.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the state of Governing State: without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for any action arising out of this Agreement.

Entire Agreement

This Agreement, including any attachments or riders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, warranties and agreements, whether written or oral. Any amendment or modification must be in writing and signed by both parties.
