Performance Order Form

This Performance Order Form (the Agreement) is entered into by and between Client Name: and Performer Name: Effective Date:

WHEREAS

WHEREAS, Client engages Performer to render a live performance and related services described herein; and

WHEREAS, Performer represents that Performer has the experience, personnel, equipment, and licenses necessary to provide the performance services; and

WHEREAS, the parties desire to set forth the terms, conditions and payment schedule under which Performer will provide the performance.

Scope of Work

Performer shall provide the performance, technical support, personnel and any agreed ancillary services described below. The description must include set length, number of performers, and any special accommodations.

Performance Details

Payment Terms

Client agrees to pay Performer the fees and expenses set forth below in consideration for the performance and services. Payments shall be made in lawful currency according to the schedule specified. Unless otherwise stated, amounts are exclusive of applicable taxes and duties, which Client shall bear.

All undisputed amounts not paid when due shall incur the Late Payment Fee described above and interest at the maximum lawful rate where permitted. Client shall also reimburse Performer for reasonable collection costs, including attorneys' fees, incurred in recovering overdue sums.

Technical Rider and Requirements

Client shall ensure venue compliance with Performer's technical rider. Client shall provide safe and legal access, electricity, and such facilities as are customarily required. Any additional technical crew or equipment requested by Performer and agreed by Client shall be itemized and charged separately.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate for material breach following written notice and a reasonable cure period not to exceed the notice period specified above. Termination by Client without cause less than the notice period shall entitle Performer to reasonable cancellation damages, including retained deposit and, where appropriate, the balance of the fee.

Confidentiality

Each party acknowledges that it may receive Confidential Information of the other party. "Confidential Information" means non-public information that by its nature or designation should reasonably be understood to be confidential. Each party shall (i) use Confidential Information solely to perform its obligations hereunder, (ii) restrict disclosure to employees and agents who have a need to know and are bound to confidentiality no less protective than this Agreement, and (iii) exercise reasonable care to prevent unauthorized disclosure. The obligations of confidentiality shall survive termination of this Agreement for a period of years.

Insurance and Indemnification

Performer shall maintain at its expense such liability and workers' compensation insurance as required by law and customary for performances of this nature. Client shall maintain general liability insurance covering the venue and event. Each party shall indemnify and hold harmless the other from claims arising out of its negligence or willful misconduct in connection with this Agreement, subject to applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts within that state.

Entire Agreement

This Agreement, including any attachments and riders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, negotiations, and understandings, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.
