Performance Peer Review Agreement

This Performance Peer Review Agreement (the "Agreement") is entered into on by and between (the "Company") and (the "Reviewer").

WHEREAS

WHEREAS, the Company requires an independent peer evaluation of the performance of the Subject Employee identified below for use in personnel decisions, development planning, and internal records; and

WHEREAS, the Reviewer possesses relevant knowledge of the Subject Employee's duties and agrees to perform a candid, objective, and confidential evaluation in accordance with the terms of this Agreement; and

WHEREAS, the Company and Reviewer wish to memorialize the scope, compensation, confidentiality, and other terms governing the peer review engagement.

SCOPE OF WORK

The Reviewer shall perform an objective peer review of the Subject Employee's job performance for the Review Period. The review shall include competency evaluations, narrative comments, examples of observed performance, and recommended developmental actions. The Reviewer shall complete the review tools required by the Company and deliver them to the Company's designated contact within the applicable schedule.

PERFORMANCE EVALUATION

For each competency below, provide a numeric rating on a 1 (Does Not Meet) to 5 (Exceeds) scale and supporting comments describing observable behaviors and examples.

PAYMENT TERMS

In consideration for services performed under this Agreement, the Company shall pay the Reviewer the fees and in accordance with the schedule set forth below. Fees must be invoiced by the Reviewer and paid in U.S. dollars unless otherwise agreed in writing.

TERM AND TERMINATION

The term of this Agreement begins on and ends on unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for cause may be immediate where a material breach is not cured within a reasonable cure period. Upon termination, the Reviewer will be paid for work performed through the effective date of termination in accordance with documented deliverables.

CONFIDENTIALITY

The Reviewer acknowledges that information obtained in the course of performing the peer review may be confidential, proprietary, and sensitive. The Reviewer shall not disclose, publish, or use Confidential Information except as necessary to perform services under this Agreement or as required by law. Confidential Information shall include personnel records, performance ratings, compensation data, and any other non-public information designated as confidential.

The obligation of confidentiality shall survive termination of this Agreement for a period of .

REVIEWER CERTIFICATIONS AND ACKNOWLEDGMENTS

The Reviewer certifies that the information and evaluations contained in this review are true and accurate to the best of the Reviewer's knowledge, are based on direct observation or documented interactions, and reflect the Reviewer's independent professional judgment.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Exclusive venue for any dispute arising under this Agreement shall lie in the state or federal courts located within that state unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Independent Contractor. The Reviewer is engaged as an independent contractor. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship between the parties. The Reviewer is solely responsible for all federal, state, and local taxes, insurance, and benefits relating to compensation received under this Agreement.

No Waiver. Failure by either party to enforce any provision of this Agreement shall not be deemed a waiver of future enforcement of that or any other provision.
