PERFORMANCE PLAYING CONTRACT

This Performance Playing Contract ("Agreement") is made on this by and between Presenter Name: ("Presenter"), and Artist Name: ("Artist").

RECITALS

WHEREAS, Presenter operates or controls the venue and desires to engage Artist to render a live musical performance under the terms set forth herein; and

WHEREAS, Artist represents that Artist has the right, ability and necessary licenses, consents and personnel to perform the engagement described below; and

WHEREAS, the parties intend that this Agreement set forth their entire understanding with respect to the engagement and performance.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

Presenter engages Artist to provide a live musical performance (the "Performance") and Artist accepts such engagement on the terms and conditions set forth in this Agreement.

5. TECHNICAL RIDER

6. CANCELLATION AND FORCE MAJEURE

Presenter may cancel the engagement by written notice. If Presenter cancels without cause within days of the Performance, Presenter shall forfeit the deposit and pay cancellation fees as follows: .

Neither party shall be liable for delays or failures in performance caused by events beyond its reasonable control, including acts of God, government action, labor disputes, or severe weather ("Force Majeure"). In the event of Force Majeure, the parties shall endeavor to reschedule the Performance on mutually agreeable terms. If rescheduling is not possible within days, this Agreement may be terminated without further liability except as to obligations already accrued.

7. RECORDING, BROADCAST, AND INTELLECTUAL PROPERTY

No live audio or audiovisual recording, broadcasting, streaming or retransmission of the Performance by Presenter or any third party shall be permitted without Artist's prior written consent. If Artist grants permission to record or broadcast, compensation, credit, and usage rights shall be agreed in a separate written license. Artist retains all rights in its musical compositions, performances and copyrights except for any rights expressly licensed in writing.

8. INSURANCE

Presenter shall maintain general liability insurance covering the event with limits not less than $ per occurrence and shall list Artist as an additional insured where reasonably requested. Artist shall maintain personal liability insurance for Artist's personnel. Certificates of insurance shall be provided upon request.

9. REPRESENTATIONS, WARRANTIES AND COVENANTS

Artist represents and warrants that Artist has full power and authority to enter into this Agreement and that the performance will not infringe the rights of any third party. Presenter represents and warrants that Presenter has the authority to present the Performance at the Venue and will obtain any required permits, licenses, or clearances necessary for the event.

10. INDEMNIFICATION

Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party (the "Indemnified Party") from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the Indemnifying Party's breach of this Agreement, negligence, willful misconduct, or failure to obtain required permissions.

11. INDEPENDENT CONTRACTOR

Artist is an independent contractor. Nothing in this Agreement creates an employment, agency or joint venture relationship. Artist is responsible for all federal, state and local taxes, withholding and contributions on amounts paid under this Agreement unless otherwise required by law.

12. CONFIDENTIALITY

The parties agree that the terms of compensation and any non-public business terms are confidential and shall not be disclosed to third parties except as required by law or with the other party's prior written consent.

13. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address designated by written notice.

14. AMENDMENTS, WAIVER, SEVERABILITY, ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings. No amendment or modification shall be effective unless in writing and signed by both parties. Failure to enforce any provision shall not constitute a waiver. If any provision is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to its conflicts of law principles.

16. COUNTERPARTS
