WHEREAS

WHEREAS, Client has engaged Contractor to perform certain services and/or produce deliverables described in this Agreement and requires formal proof of performance and acceptance consistent with contract requirements;

WHEREAS, Contractor represents that all work, reporting, and supporting documentation submitted under this Agreement will be accurate, complete, and performed in accordance with the standards, schedules, and acceptance criteria established herein; and

WHEREAS, the parties desire to document the method, evidence, and formal certification for performance, payment, and acceptance in a manner that may be relied upon for audit, payment, and dispute resolution purposes.

PAYMENT TERMS

Invoicing Requirements: Contractor shall submit itemized invoice(s) accompanied by the specified Performance Evidence. Payment due within days after receipt of a complete invoice and acceptance of deliverables.

Late Payment Fee: Overdue amounts shall accrue interest at the lesser of (a) per month or (b) the maximum rate permitted by applicable law.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days in advance. Termination for cause may occur immediately upon written notice if the non‑breaching party reasonably determines that a material breach has occurred and such breach is not cured within 15 days after written notice.

Upon termination, Contractor shall deliver all completed work and any partial deliverables; Client shall pay Contractor for work performed through the effective date of termination in accordance with the Payment Terms and subject to any offsets for defects or nonconforming work.

CONFIDENTIALITY

Each party (the Receiving Party) shall hold in confidence and not disclose the other party's (the Disclosing Party's) Confidential Information. "Confidential Information" includes non-public business information, technical data, trade secrets, pricing, customer lists, and performance reports provided in connection with this Agreement but does not include information that: (a) is or becomes generally available to the public through no breach of this Agreement by the Receiving Party; (b) was in the Receiving Party's possession prior to disclosure as demonstrated by written records; or (c) is rightfully obtained from a third party without restriction and without breach of an obligation of confidentiality.

The Receiving Party may disclose Confidential Information to its employees, contractors, or legal and financial advisors who have a need to know and are bound to protect such information. If the Receiving Party is compelled by law to disclose Confidential Information, it shall provide prompt written notice to the Disclosing Party and cooperate in any reasonable effort to obtain confidential treatment.

Confidentiality obligations shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation between senior representatives. If negotiation fails, the parties may pursue any available remedies in the appropriate state or federal court located in the chosen governing state.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, including all referenced schedules, exhibits, and attachments, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. Any modification or waiver must be in writing and signed by authorized representatives of both parties.

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

CERTIFICATION OF PERFORMANCE

The undersigned certify that the Performance Evidence described in this document accurately represents the work performed and deliverables provided under the Agreement.
