PERFORMANCE SPEAKER CONTRACT

RECITALS

WHEREAS, Engager organizes events for audiences and desires to engage Speaker to present a speech, presentation, or performance as further described in this Agreement; and

WHEREAS, Speaker represents that Speaker possesses the necessary expertise, qualifications, and rights to perform the services described herein and is willing to provide such services on the terms set forth below.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows:

1. ENGAGEMENT

Engager hereby engages Speaker, and Speaker accepts such engagement, to provide one or more presentations, speeches, or related services (the Services) at the Event described in Section 2. Speaker shall perform the Services in a professional manner consistent with industry standards.

3. SPEAKER OBLIGATIONS

Speaker shall: (a) prepare and deliver the agreed presentation(s) at the Event; (b) arrive at the Event location at the time reasonably requested by Engager; (c) comply with Venue rules and applicable laws; and (d) provide Engager with any materials reasonably necessary for the Event by the date agreed below: .

Speaker represents and warrants that: (i) Speaker has the full right and authority to enter into this Agreement and to grant the rights granted herein; (ii) Speaker's presentation will not infringe the intellectual property, privacy, or publicity rights of any third party; and (iii) Speaker will not include defamatory or unlawful content.

4. COMPENSATION AND PAYMENT

Engager shall pay Speaker a fee of USD for the Services. Payment shall be made as follows:

5. EXPENSES AND TRAVEL

If Engager is responsible for expenses, Engager shall either directly pay vendors or reimburse Speaker upon presentation of receipts within days.

6. RECORDING, INTELLECTUAL PROPERTY AND RIGHTS

Except as set forth in this Section, Speaker retains all right, title, and interest in and to Speaker's materials, content, and intellectual property. Engager shall not record, reproduce, distribute, or otherwise exploit Speaker's presentation without the Speaker's prior written consent, except that Engager is granted a limited, non-exclusive, non-transferable license to use recordings of the presentation solely for internal archival and promotional purposes if and only if:

(a) Speaker provides prior written consent for recording by checking: Consent given

(b) Any public use of recordings, excerpts, or promotional materials requires Speaker's prior written approval and, where applicable, appropriate credit to Speaker.

7. CANCELLATION AND TERMINATION

If Engager cancels the engagement more than days prior to the Event, Engager shall only be liable for reasonable non-refundable expenses incurred by Speaker. If Engager cancels within that period, Speaker shall be entitled to retain the deposit and may invoice for a cancellation fee equal to of the total fee.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within thirty (30) days after receipt of written notice of the breach.

8. INDEPENDENT CONTRACTOR

Speaker is an independent contractor and not an employee, partner, agent, or joint venturer of Engager. Speaker shall have no authority to bind Engager and shall be responsible for all taxes, withholdings, and other statutory obligations of an independent contractor.

9. CONFIDENTIALITY

Each party shall maintain in confidence any non-public information designated as confidential by the disclosing party and shall not disclose such information except to its employees, agents, or contractors who have a need to know and are bound by confidentiality obligations no less protective than those set forth herein. This obligation shall survive termination of this Agreement for a period of two (2) years.

10. INDEMNIFICATION

Each party (the Indemnifying Party) shall indemnify, defend, and hold harmless the other party and its officers, directors, employees, and agents from and against any claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to (a) a breach of the Indemnifying Party's representations, warranties, or obligations under this Agreement; or (b) the negligence or willful misconduct of the Indemnifying Party.

11. INSURANCE

Speaker shall maintain commercial general liability insurance and, if applicable, professional liability insurance in amounts sufficient to cover its obligations under this Agreement and shall provide certificates of insurance upon request by Engager.

12. LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special, or punitive damages, and the total aggregate liability of either party arising out of or relating to this Agreement shall not exceed the total fees paid or payable to Speaker under this Agreement.

13. FORCE MAJEURE

Neither party shall be liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, governmental action, strikes, pandemics, or severe weather. The affected party shall promptly notify the other and use commercially reasonable efforts to resume performance.

14. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth in the opening paragraph or to such other address as either party may designate in writing. Notices shall be deemed given upon personal delivery, two (2) days after deposit with a nationally recognized overnight courier, or three (3) days after mailing by certified mail, return receipt requested.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles.

16. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, including any attachments and exhibits, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties. Waiver of any breach shall not constitute a waiver of any other breach. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.
