PERFORMANCE VENUE MUSIC HALL AGREEMENT

This Performance Venue Music Hall Agreement (the Agreement) is entered into between the parties identified below as of the Effective Date set forth herein.

WHEREAS, Venue operates the music hall described above and is authorized to license use of the premises for public performances; and

WHEREAS, Presenter/Artist desires to engage Venue to present a live musical performance pursuant to the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the parties agree as follows.

Scope of Work

The Presenter/Artist shall provide the musical performance, and Venue shall provide the facilities, basic staffing and specified equipment as set forth below. Specific duties, technical requirements, and obligations are described in the technical rider and the description provided here:

Late Payment: Amounts not paid when due shall bear interest at (or the maximum permitted by law), and Venue reserves the right to suspend services or cancel the engagement if payment obligations are not satisfied within after written notice.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for after written notice. For convenience, either party may terminate with prior written notice. Termination shall not relieve the Presenter/Artist of payment obligations incurred prior to termination, including any non-refundable deposits.

Cancellation by Presenter/Artist within of the Event shall result in a cancellation fee equal to unless otherwise agreed in writing.

Confidentiality

Each party shall keep confidential and not disclose proprietary business information, financial terms, trade secrets, technical riders, audience lists and other non-public information disclosed in connection with this Agreement for a period of following the termination or expiration of this Agreement. Confidential information does not include information that is or becomes publicly available other than by breach of this obligation, or is required to be disclosed by law, provided the disclosing party gives prompt notice to the other party.

Insurance, Indemnity and Licenses

Presenter/Artist shall procure and maintain, at its expense, commercial general liability insurance with limits of not less than $ per occurrence and name Venue as an additional insured where required. Presenter/Artist shall defend, indemnify and hold harmless Venue, its officers, employees and agents from and against any claims, losses, liabilities, damages and expenses arising from the Presenter/Artist's performance or willful misconduct, except to the extent caused by Venue's gross negligence or willful misconduct.

Each party is responsible for obtaining all licenses and permits required for its activities hereunder, including but not limited to public performance licenses. Venue shall remain responsible for venue permits and safety compliance for the premises.

Force Majeure

Neither party shall be liable for delay or failure to perform its obligations (other than payment obligations) due to causes beyond its reasonable control, including acts of God, governmental restriction, labor disputes, epidemics, or other similar events. The affected party shall give prompt written notice and the parties shall confer to agree on alternatives or rescheduling; if performance cannot be resumed within , either party may terminate without further liability except for obligations accrued prior to the force majeure event.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties shall first attempt to resolve disputes in good faith through negotiation. If unresolved, disputes shall be submitted to binding arbitration in a mutually agreed location unless the parties agree otherwise in writing.

Entire Agreement; Amendment

This Agreement, together with any exhibits and the technical rider, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements. No amendment or modification shall be effective unless reduced to writing and signed by authorized representatives of both parties.

Miscellaneous

All notices under this Agreement shall be in writing and delivered to the contact information listed above by hand, certified mail, or email (email receipt to be retained). If any provision of this Agreement is held unenforceable, the remainder shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a sale of substantially all assets.
