RECITALS

WHEREAS, Performer is a professional musical/theatrical entertainer engaged in live performances and possesses the requisite skill and experience to perform at events; and

WHEREAS, Promoter operates, produces, or presents live events and desires to engage Performer to render a live performance at the event identified below on the terms and conditions set forth in this Agreement; and

WHEREAS, both parties desire to set forth their respective rights and obligations with respect to the engagement.

PAYMENT TERMS

Promoter agrees to pay Performer the total fee of $ for the services described herein.

Late payments shall incur interest at the rate of on any unpaid balance thirty (30) days after the balance due date. Promoter shall be responsible for reasonable collection costs, including attorney fees, incurred to collect overdue amounts.

Unless otherwise stated, Promoter is responsible for all agreed travel, accommodation, and production expenses as specified:

TERM AND TERMINATION

This Agreement commences on Start Date: and shall terminate on End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience by providing written notice at least days prior to the scheduled event. Promoter acknowledges that cancellation within fourteen (14) calendar days of the event may result in forfeiture of deposit and additional cancellation damages as set forth herein.

In the event of a material breach by either party that remains uncured for ten (10) business days after written notice, the non-breaching party may terminate this Agreement and pursue all available remedies.

CONFIDENTIALITY

Each party agrees to keep confidential and not disclose to any third party any non-public business, financial, technical, or artistic information received from the other party in connection with this Agreement. Confidential information shall not include information which is or becomes publicly known other than through the receiving party's breach of this provision, is rightfully received from a third party without restriction, or which is independently developed without use of confidential information. The obligations in this paragraph shall continue for months following termination of this Agreement.

INTELLECTUAL PROPERTY AND PROMOTION

Performer retains all rights to its recorded and original works performed. Promoter is granted a limited, non-exclusive license to use Performer's name, likeness, and biographical material solely for the promotion of the event. Promoter shall not record, transmit, or authorize the recording or transmission of Performer's live performance except by separate written agreement signed by Performer.

INDEMNIFICATION

Each party shall indemnify, defend, and hold harmless the other party and its officers, agents, and employees from and against any third-party claims, liabilities, losses or damages arising from the indemnifying party's negligence, willful misconduct, or breach of this Agreement, provided that the indemnified party gives prompt written notice and reasonable cooperation in the defense or settlement of such claim.

FORCE MAJEURE

Neither party shall be liable for failure to perform its obligations under this Agreement where such failure is due to causes beyond its reasonable control, including acts of God, war, riot, government action, labor disputes, pandemics, or interruption of utilities. The affected party shall provide prompt notice and use reasonable efforts to mitigate the effect of the event.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attached riders and schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral.
