Parties and Effective Date

This Performer Service Contract (the "Agreement") is made and entered into as of by and between:

WHEREAS, Performer has the experience, personnel, and equipment necessary to provide such services and agrees to perform under the terms set forth in this Agreement; and

Scope of Work

Performer shall provide live performance services as described below. Performer will be responsible for providing all personnel, equipment, and technical support expressly stated in the scope. Client will provide reasonable access to the performance area, power, and security as required.

Payment Terms

As consideration for the services, Client shall pay Performer the total fee set forth below in accordance with the schedule. All payments exclude applicable taxes unless otherwise stated. Failure to pay amounts when due constitutes a material breach.

Term and Termination

This Agreement commences on and terminates on , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice of days to the other party. Termination for material breach shall be effective immediately upon written notice if the breaching party fails to cure within ten (10) days of receipt of notice.

Confidentiality

Each party shall keep confidential all non-public information received from the other party in connection with this Agreement, including but not limited to technical requirements, business terms, and proprietary materials ("Confidential Information"). Confidential Information shall not be disclosed or used for any purpose other than performance under this Agreement for a period of following termination.

Performer represents that it maintains appropriate insurance coverage for public liability and property damage where required. Performer shall indemnify and hold harmless Client from claims arising out of Performer's gross negligence or willful misconduct. Client shall indemnify Performer for claims arising from Client's breach or negligence. Each party shall comply with applicable laws, venue rules, and venue safety requirements.

Force Majeure

Neither party shall be liable for delays or failures to perform caused by events beyond its reasonable control, including acts of God, strikes, governmental orders, or severe weather. If a Force Majeure event prevents performance, parties shall confer promptly to agree on rescheduling or termination terms.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

This Agreement, including all schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior oral or written understandings. Any amendment must be in writing and signed by both parties.
