PERFORMER SERVICES AGREEMENT

This Performer Services Agreement (the "Agreement") is entered into as of by and between Performer Name: (Performer), an Individual Corporation, with an address at and Producer Name: (Producer), with an address at .

RECITALS

WHEREAS, Performer is in the business of providing live and recorded performance services, including vocal, instrumental, theatrical and related performance work; and

WHEREAS, Producer produces and promotes events and desires to engage Performer to render performance services on the terms and conditions set forth in this Agreement; and

WHEREAS, Performer is willing to render the services and grant the rights described below, and Producer is willing to engage Performer for the engagement described below.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SERVICES

1.1 Engagement. Producer hereby engages Performer to provide the performance services described in Schedule A attached hereto and incorporated herein (the "Services"), and Performer accepts such engagement under the terms of this Agreement.

2. PERFORMANCE DATE, TIME AND LOCATION

2.1 Date and Time. Performer shall render the Services at the Engagement on at .

3. COMPENSATION

3.1 Fee. As full compensation for the Services, Producer shall pay Performer the sum of $ (the "Fee"), payable in accordance with Section 3.2.

3.2 Payment Schedule. Producer shall pay a deposit of $ upon execution of this Agreement, with the remaining balance due days prior to the Engagement, unless otherwise agreed in writing.

4. EXPENSES AND TRAVEL

Unless otherwise agreed in writing, Producer shall be responsible for reasonable travel, lodging and meal expenses incurred by Performer in connection with the Engagement. Reimbursement shall be made upon presentation of receipts within days following the Engagement.

6. CANCELLATION AND FORCE MAJEURE

6.1 Cancellation by Producer. If Producer cancels the Engagement without cause fewer than days prior to the Engagement, Producer shall pay Performer a cancellation fee equal to $.

6.2 Force Majeure. Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, governmental action, strikes, epidemic or extreme weather. If performance is prevented for more than days, either party may terminate this Agreement upon written notice.

7. INDEPENDENT CONTRACTOR

Performer is engaged as an independent contractor. Nothing in this Agreement shall be construed to create an employment, agency, partnership, joint venture or franchise relationship between the parties. Performer shall be solely responsible for all federal, state and local taxes and withholdings arising from the Fee.

8. INTELLECTUAL PROPERTY; RECORDINGS

8.1 Live Performance Rights. Performer grants Producer a non-exclusive, revocable license to record the Engagement for Producer's internal promotional use only, unless Producer obtains Performer’s prior written consent for any commercial exploitation.

8.2 Ownership. Unless otherwise expressly agreed in writing, Performer retains all right, title and interest in Performer’s pre-existing material, including compositions, arrangements and trademarks. Any new recordings or fixed media created by Performer specifically for Producer shall be owned by subject to the parties' written agreement.

9. CONFIDENTIALITY

Each party shall hold in confidence and not disclose to any third party any confidential information of the other party learned in connection with this Agreement, except as required by law. Confidential information does not include information that is or becomes publicly known through no breach of this Agreement.

10. PUBLICITY AND NAME, LIKENESS AND RECORDING CONSENT

Performer hereby grants Producer the right to use Performer’s name, image and likeness in connection with promotion of the Engagement and related marketing materials, subject to Producer’s compliance with the limitations set forth in Section 8. Performer shall have the right to review and approve any commercial use of Performer’s name or likeness outside the Promotion, which approval shall not be unreasonably withheld.

Recording Consent: Producer may record the Engagement in audio and/or video for the limited purposes described above.

11. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full right, power and authority to enter into this Agreement and to perform its obligations hereunder; that performance will not violate any other agreement or obligation; and that the entering into and performance of this Agreement will not infringe any third-party rights.

12. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying party's breach of any representation, warranty, covenant or obligation under this Agreement, or from the negligence or willful misconduct of the indemnifying party.

13. INSURANCE

Where applicable, Producer shall maintain general liability insurance covering the Engagement. Performer shall maintain any required performers’ liability or disability insurance. Minimum coverage required: $ or as otherwise agreed in writing.

14. TERM AND TERMINATION

This Agreement shall commence on the Effective Date and shall terminate upon completion of all obligations of the parties, unless earlier terminated in accordance with this Agreement. Either party may terminate for material breach if the breach is not cured within days after written notice.

15. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail to the parties at their addresses set forth in the preamble or to such other address as either party may designate by notice.

16. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

17. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state specified by the parties: , without regard to its conflict of laws principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. MISCELLANEOUS PROVISIONS

18.1 Remedies. The rights and remedies provided in this Agreement are cumulative and not exclusive of any rights provided by law. 18.2 Assignment. Neither party may assign this Agreement without the prior written consent of the other, except that Producer may assign to an affiliate or successor in interest.
