PERFORMER SERVICES CONTRACT

This Performer Services Contract ("Agreement") is made and entered into as of Date: by and between Producer Name: with principal place of business at (hereinafter "Producer"), and Performer Name: with address at (hereinafter "Performer"). Producer and Performer are sometimes referred to individually as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, Producer produces live events and desires to engage Performer to render artistic and/or entertainment services at the Event described below; and

WHEREAS, Performer represents that Performer has the skill, experience and legal right to perform the services described in this Agreement and is willing to perform under the terms and conditions set forth herein; and

WHEREAS, the Parties desire to set forth the terms and conditions governing Performer's provision of services for the event identified as: Event Name: taking place on Event Date: at Venue: .

NOW THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, receipt of which is hereby acknowledged, the Parties agree as follows:

1. ENGAGEMENT OF SERVICES

1.1 Services. Producer hereby engages Performer, and Performer accepts such engagement, to render the services described as: (the "Services") at the Event.

1.2 Performance Schedule. Performer shall appear and render Services at the Event on Event Date: , commencing at and concluding at , unless otherwise mutually agreed in writing.

2. COMPENSATION

2.1 Fee. In consideration for the full, timely and professional performance of the Services, Producer shall pay Performer a fee of $ (the "Fee").

2.2 Deposit and Payment Schedule. Producer shall pay a deposit of $ upon execution of this Agreement, with the balance payable by Producer to Performer no later than days prior to the Event or immediately following the performance in cash, unless otherwise agreed in writing.

2.3 Taxes. Performer shall be responsible for all taxes, withholdings and other statutory obligations arising from the Fee, and Producer shall not withhold any amounts from payments to Performer except as required by law.

3. EXPENSES; TRAVEL

Unless otherwise expressly agreed in writing, Producer shall not be responsible for Performer's travel, lodging or meal expenses. If Producer agrees to reimburse travel or other expenses, such reimbursements shall be limited to the amounts set forth in a written attachment or invoice approved by Producer in advance: .

4. CANCELLATION; FORCE MAJEURE

4.1 Cancellation by Producer. If Producer cancels the engagement more than days prior to the Event, Producer shall forfeit the deposit as liquidated damages. If Producer cancels within days of the Event, Producer shall pay Performer the full Fee, less any amounts already paid.

4.2 Force Majeure. Neither Party shall be liable for delay or failure to perform its obligations hereunder due to causes beyond its reasonable control, including acts of God, governmental action, pandemics, strikes, or severe weather. The affected Party shall give prompt notice to the other Party and use commercially reasonable efforts to mitigate the effect of such event.

5. REPRESENTATIONS AND WARRANTIES

Performer represents and warrants that Performer has all necessary rights, clearances, permits, work authorizations and licenses to perform the Services and to grant the rights set forth in this Agreement; that Performer is in good health and physically able to perform; and that the Services will not infringe the rights of any third party.

6. INDEPENDENT CONTRACTOR

The Parties acknowledge and agree that Performer is an independent contractor and not an employee, agent, partner or joint venturer of Producer. Performer retains sole control over the manner and means of performing the Services, subject to Producer's reasonable direction as to schedule and content for the Event.

7. INTELLECTUAL PROPERTY; RECORDINGS

7.1 Ownership. Performer retains ownership of Performer's pre-existing materials and underlying musical compositions or routines, unless otherwise expressly assigned in writing. Any new fixed recordings or audiovisual recordings created at the Event shall be owned by .

7.2 License. If Producer is designated owner or joint owner, Performer grants Producer an irrevocable, royalty-free license to use Performer's name, likeness and performance recordings in connection with advertising, promotion and distribution of the Event and future marketing of Producer's productions, subject to Artist Approval (Yes): .

8. PUBLICITY

Producer may announce and promote the engagement using Performer's name and biographical information provided by Performer, subject to Performer's prior written approval of any promotional materials featuring Performer's likeness, which shall not be unreasonably withheld.

9. CONFIDENTIALITY

Each Party shall keep confidential all non-public business information disclosed by the other Party in connection with this Agreement and shall not disclose such information except to its employees, agents or advisors who need to know and who are bound by confidentiality obligations no less protective than those herein.

10. INDEMNIFICATION AND LIMITATION OF LIABILITY

10.1 Indemnification. Each Party shall indemnify, defend and hold harmless the other Party and its affiliates from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying Party's breach of this Agreement or negligent or willful acts or omissions in connection with the Services.

10.2 Limitation of Liability. Except for liability arising from willful misconduct, gross negligence, or a Party's indemnification obligations, neither Party shall be liable to the other for special, consequential, incidental, or punitive damages, and the aggregate liability of either Party for any claim arising out of this Agreement shall not exceed the total Fees paid or payable to Performer under this Agreement.

11. INSURANCE

Performer shall maintain at Performer's expense any required liability and workers' compensation insurance and shall provide certificates of insurance to Producer upon request. Producer may require Performer or Performer's subcontractors to carry specified insurance limits, which shall be set forth in an attached schedule if applicable:

12. TERMINATION

Either Party may terminate this Agreement upon material breach by the other Party if such breach remains uncured for a period of thirty (30) days after receipt of written notice specifying the nature of the breach. Termination shall not relieve either Party of obligations accrued prior to termination.

13. NOTICES

All notices required or permitted hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, by nationally recognized overnight courier, or by certified mail to the addresses set forth above or such other address as a Party may designate by notice in accordance with this Section.

14. AMENDMENTS; WAIVER

This Agreement may be amended or modified only by a written instrument signed by both Parties. No failure or delay by either Party in exercising any right under this Agreement shall constitute a waiver of that right.

15. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in the county of for resolution of any disputes arising out of this Agreement.

16. ENTIRE AGREEMENT; SEVERABILITY

This Agreement (including any attachments, riders and schedules executed contemporaneously herewith) constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

17. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be effective as originals.
