Warranties and Remedies

Contractor warrants that workmanship shall be free from defects for a period of from date of completion. Materials are warranted only to the extent of the manufacturer's warranty unless Contractor provides a written warranty to the contrary.

Confidentiality

Each party shall maintain in confidence any non-public commercial, technical or financial information marked or reasonably understood to be confidential and shall not disclose such information to third parties except as required by law, court order, or to perform obligations under this Agreement. Confidentiality obligations shall survive termination for a period of two (2) years.

Insurance and Indemnification

Contractor shall maintain general liability and workers' compensation insurance sufficient for the work. Contractor shall indemnify and hold Client harmless from claims, losses or damages resulting from Contractor's negligent performance of the work, except to the extent caused by Client's negligence or willful misconduct.

Liens, Permits and Site Conditions

Client warrants that the site conditions disclosed to Contractor are accurate. Contractor shall notify Client in writing of any concealed or unexpected conditions. Contractor may seek equitable adjustment for extra costs caused by differing site conditions or unforeseen obstructions.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement

This Agreement, including any attachments and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
